Role Overview:

The hire will work closely with the Legal Secretarial and Finance teams to support M&A strategic investment and group restructuring initiatives for the Company and its group entities across jurisdictions. The role requires deep transactional and regulatory expertise strong stakeholder management and the ability to independently manage complex time-critical deal-related compliance and governance matters with minimal supervision.

Job description:

• Manage secretarial and regulatory workstreams for M&A transactions strategic investments divestments fundraising and group restructuring initiatives acrossjurisdictions.

• Support transaction structuring from a corporate law and regulatory perspective including analysis under the Companies Act FEMA/RBI and SEBI regulations.

• Coordinate end-to-end transaction readiness including diligence preparation data room support transaction documentation inputs and regulatory sequencing of approvals and filings.

• Act asaninterface with external counsel auditors investors acquirers and regulators on transaction-related governance and compliance matters.

• Identify assess and mitigate regulatory and governance risks arising during deal execution and post-transaction integration.

• Oversee post-closing compliance integration-related filings and implementation of transaction conditions precedent andsubsequent.

• Monitor regulatory developmentsimpactingM&A and investment activity and advise deal teams on implications.

Education & Experience:

• Qualified Company Secretary.

• 9-10 years relevant PQE and who is available to join immediately.

• Excellent communication and interpersonal skills. Should have a proactive attitude.

• Should have the ability to work independently and manage multiple tasks and deadlines. Should alsohave the ability towork in a high-paced environment.

• Problem-solving and analytical skills.
