Job Description

Your Role

The Director M&A leads inorganic strategy development at Brenntag and leads front to end acquisition and portfolio optimization projects in close collaboration with our business and functional leaders. Activities include target assessment valuation discussions leading internal and external M&A processes and building the bridge to the integration activities.

As Director you will translate Brenntags business strategy into M&A priorities to support growth in close cooperation with our divisions our global strategy teams and other relevant functions. Moreover you will be leading entire M&A processes. Externally you will be negotiating with sellers and their advisors throughout NDA NBO due diligence and signing/closing phases. Internally you will manage target assessment due diligence and approval processes with our board and supervisory board. As owner of M&A projects you will also regularly report on their progress and be involved in the preparation of integrations plans post-closing.

The successful individual will work closely with the divisions in our regions our corporate leaderships as well as our different HQ functional departments.

Responsibilities

  • Support businesses in the identification and evaluation of potential acquisition targets and be responsible for direct contacts to potential targets and M&A advisors to develop Brenntags M&A pipeline
  • Lead acquisition projects to execute Brenntag SEs M&A strategy from deal origination to post-merger integration
  • Lead targeted divestiture processes for identified non-core business
  • Lead negotiations of share and asset purchase agreements as well as other transaction documents in close cooperation with senior members of the team and our Legal department
  • Develop optimized transaction structures and contract designs
  • Build best practice integration playbook and support regional businesses in the preparation and execution of post-merger integration
  • Guide and challenge businesses in the preparation and review of business plans
  • Plan and coordinate due diligence exercise in cooperation with internal stakeholders and external consultants
  • Perform company valuations (based on financial models)
  • Optimize integration of M&A targets by developing best-practices playbooks etc
  • Preparation of decision materials for the board of Brenntag
  • Report to Vice President M&A

Your Profile

Education & Experience

  • Masters Degree: field of Business or Finance preferred others (such as Engineering) also considered.
  • >10 years experience with M&A processes; ideally in investment banking or transaction services at recognized international M&A advisor or in a corporate M&A role; double digit number of successful deal-completions
  • Affinity with chemicals or wholesale distribution industry is a plus
  • Senior level project management experience required including experience in managing teams
  • Must possess strong leadership qualities to motivate and persuade others to accomplish organizational objectives in a unified and fluent manner
  • Excellent written and verbal communication skills; experience in presenting to C-level
  • Must be extremely conscientious and detailed-oriented
  • Able to work under pressure to meet tight deadlines
