Job Title: Mergers & Acquisitions (M&A) Manager

As an M&A Manager you will lead strategic initiatives foster innovation and drive sustainable growth.

About the role

As our M&A Manager you will be at the forefront of shaping our growth trajectory through strategic mergers and acquisitions. You will take full ownership of complex high-impact transactions from idea to execution and work directly with senior leadership to unlock transformational opportunities. Key responsibilities

Deal Origination & Strategic Fit Assessment

  • Identify and evaluate potential acquisition or partnership targets aligned to our strategic roadmap.
  • Conduct strategic fit assessments by synthesizing market trends dynamics our growth pillars and competitive positioning.
  • Build compelling investment theses that outline the strategic rationale and key value drivers of each opportunity.

Financial Analysis & Valuation

  • Build robust financial models and business cases including DCF and multiples
  • Stress-test scenarios and sensitivities to assess risk and upside across various deal structures and integration outcomes.
  • Collaborate with key stakeholders to validate assumptions and craft a clear financial narrative.

Deal Structuring & Negotiation

  • Design optimal transaction structures (asset vs. share deals earnouts options etc.) in partnership with legal and tax advisors.
  • Lead negotiations on price terms and deal mechanics with counterparties advisors and legal counsel.
  • Translate business objectives into commercially sound deal terms while managing key risks.

Due Diligence Leadership

  • Run and coordinate all aspects of due diligence (commercial financial legal operational ESG) across internal teams and external advisors.
  • Identify red flags synergies integration risks and value leakage areas and distill them into actionable go/no-go recommendations.
  • Prepare Investment Committee materials and drive stakeholder buy-in at each decision gate.

Stakeholder Engagement & Governance

  • Act as the central point of contact across commerical legal finance operations and the executive team throughout the deal lifecycle.
  • Drive alignment surface deal risks early and ensure smooth information flow across all workstreams.
  • Prepare necessary documents as needed to present justify and secure approvals with Business Area Management Team and Sandvik Board for major transactions.

Integration & Post-Merger Planning

  • Collaborate with business stakeholders and integration leads to ensure key findings from due diligence are translated into actionable insights for post-deal planning.
  • Ensure continuity from deal execution to handover highlighting critical issues (e.g. people systems customer contracts) that require early integration attention.
  • Contribute to Day 1 readiness planning when required but with a primary focus on enabling a smooth transaction close.
  • Support tracking of deal outcomes and surface learnings to improve future transaction processes.

Market Intelligence & Pipeline Building

  • Continuously monitor industry shifts competitor moves startup ecosystems and investment trends to keep our pipeline active and forward-looking.
  • Maintain relationships with investment banks and external advisors to stay plugged into the deal landscape.

About you

  • 68 years of hands-on M&A experience from investment banking private equity or in-house corporate development.
  • End-to-end deal execution experience from origination to closing.
  • Strong grasp of corporate finance deal structuring legal terms and risk allocation.
  • Excellent financial modeling critical thinking and presentation skills.
  • Highly effective communicator influencer and cross-functional collaborator.
  • Relentless drive intellectual curiosity and a passion for solving strategic puzzles.
