The Director Corporate Counsel assists the Associate General Counsel EAP Vice President Deputy General Counsel and Senior Director Corporate Counsel and other key Ryan stakeholders including the Corporate Development Team with directing implementing managing coordinating overseeing and supervising legal matters relating to the Firm including without limitation mergers and acquisitions activities corporate compliance and corporate governance matters. The geographic scope of this role is predominantly the Europe and Asia-Pacific (EAP) region but may extend as required.
Duties and Responsibilities as they relate to Ryans Key Results
- Draft review and negotiate transaction documents for potential acquisitions joint ventures divestitures or other M&A transactions including non-disclosure agreements letters of intent term sheets purchase agreements schedules and related/ancillary transaction documents
- Manage legal due diligence and analyze due diligence reports for acquisitions and advise internal stakeholders of risks
- Manage local outside counsel assisting with the transaction
- Prepare closing checklists and certificates and manage closings for acquisitions and other corporate transactions
- Work with and support the internal stakeholders on integrating the acquired companies including post-closing formalities and restructuring implementation of group policies and standards and review of corporate contracts. Advise on post-closing litigations.
- Ensure compliance with relevant corporate and securities laws in the relevant jurisdictions particularly related to equity matters
- Assist and advise on matters of corporate governance and organizational structure for Ryans affiliated corporations and limited liability companies
- Manage entity formation corporate organization charts and ongoing entity reporting and maintenance to ensure all entities are properly formed and remain in good standing
- Monitor adherence to corporate formalities and entity operations by and between entities
- Support the finance and tax teams on legal matters (e.g. intragroup arrangements)
- Provide clear concise and actionable written advice to key executive stakeholders that reflects a full understanding of the pertinent issues
- Work as a member of the legal team and support other work streams as necessary and required including support on regulatory and compliance matters contracts knowledge sharing and training.
Education/Experience:
- Legal qualifications and at least seven years of experience in a large law firm and /or practice in a similar environment
- Experience drafting and negotiating cross-border M&A transaction documents and managing due diligence required
- Experience working with a large law firm preferred

Computer Skills:
- To perform this job successfully an individual must have intermediate skills in Microsoft Word Excel Outlook and Internet navigation and research.
