## About the Role
The Head - Secretarial is responsible for managing the Companys corporate secretarial governance regulatory compliance fundraising support and investor relations functions. This role requires deep expertise in Companies Act compliances SEBI LODR obligations for listed debt securities Board and shareholder management and transaction execution for equity and debt raises. The incumbent will act as a governance and compliance partner to the leadership team ensuring seamless execution of corporate actions and regulatory obligations while interacting with investors regulators stock exchanges debenture trustees and external legal advisors.
## Key Responsibilities
### Corporate Secretarial & Governance
- Lead and manage all secretarial and governance matters in compliance with the Companies Act 2013 applicable rules and Secretarial Standards.
- Organize and manage Board Committee Annual General and Extraordinary General Meetings including preparation of notices agendas notes presentations and minutes.
- Advise the Board and senior management on corporate governance practices directors duties regulatory obligations and legal implications of business decisions.
- Maintain and update all statutory registers records and minute books.
- Manage director onboarding disclosures declarations committee compositions and governance-related documentation.
- Support implementation of Board policies delegated authorities and governance protocols in line with ICSI Secretarial Standards.
### SEBI LODR & Debt Listed Entity Compliance
- Ensure end-to-end compliance with SEBI (LODR) Regulations and SEBI circulars relating to listed Non-Convertible Debentures (NCDs) and debt securities.
- Prepare and submit periodic and event-based filings with stock exchanges within prescribed timelines.
- Coordinate with stock exchanges depositories debenture trustees registrar & transfer agents and credit rating agencies.
- Monitor amendments in SEBI regulations and assess applicability and implementation.
- Maintain compliance trackers for all listing obligations and disclosure requirements.
### Regulatory Filings & Statutory Compliance
- Ensure timely filing of statutory forms annual returns and disclosures with the ROC MCA SEBI and other regulators.
- Prepare Directors Reports Corporate Governance reports and annual filings.
- Coordinate secretarial audits internal audits regulatory inspections and due diligence exercises.
- Implement compliance calendars and identify regulatory gaps to recommend corrective actions.
- Liaise with external consultants auditors and legal advisors on compliance matters.
### Equity Fund Raise & Transaction Management
- Lead secretarial functions for equity fundraising including private equity strategic investments rights issues and preferential allotments.
- Review and negotiate transaction documents such as Term Sheets Share Subscription Agreements and Shareholders Agreements.
- Work with external legal counsel to align transaction documents with laws and commercial objectives.
- Manage execution of conditions precedent and conditions subsequent for investment transactions.
- Coordinate Board and shareholder approvals and support due diligence processes conducted by investors.
### Debt Fund Raise
- Support the issuance and listing of NCDs and other debt instruments.
- Coordinate transaction documentation including General Information Documents and Key Information Documents with treasury and legal teams.
- Ensure compliance with borrowing limits charge creation and debenture trust deed requirements.
- Liaise with debenture trustees and stock exchanges until the listing of instruments is complete.
### Investor Relations & Stakeholder Management
- Act as the primary point for investor communication and governance-related interactions.
- Manage investor queries and support the preparation of presentations data rooms and due diligence materials.
- Ensure timely dissemination of disclosures in compliance with shareholders agreements and confidentiality obligations.
- Maintain records of investor rights reserved matters and reporting obligations.
## Requirements
We are seeking a seasoned professional with 6-8 years of post-qualification experience in corporate secretarial and governance functions.
This role requires a qualified Company
- Strong working knowledge of the Companies Act 2013 SEBI LODR Regulations and Secretarial Standards.
- Proven experience in handling compliance for listed entities or debt-listed companies.
- Excellent drafting and communication skills.
- Ability to independently manage Board processes and regulatory interactions.
- Strong stakeholder management and coordination capabilities.
- High attention to detail and strong analytical skills.
- Ability to work in a fast-paced and evolving regulatory environment.
