About the role:
Multinational law firm servicing clients throughout the United States with offices in New York New Jersey Delaware Maryland and Texas. The firm represents hundreds of closely-held businesses and individuals many for decades as well as Fortune 500 companies.
Founded in 1928 the firm has grown to 170 attorneys who work in eight primary areas of practice: IP Litigation; Real Estate; Bankruptcy & Corporate Restructuring; Tax Trusts & Estates; Corporate Finance & Business Transactions; Employment; Environmental; and Construction Services.
Requirements:
Candidate will have the following: Minimum 6 years of experience handling business and financial transactions within the healthcare industry ; Experience within a large law firm setting (experience will be current or very recent) ; Keen knowledge of complex healthcare regulations like HIPAA and anti-kickback laws ; Experience negotiating contracts for everything from physician practices to technology companies.
Stellar academic credentials (Law Review and/or Moot Court accolades desired); Strong research verbal & written communication skills and analytic skills required ; NY Bar.
Day to Day Responsibilities:
Responsibilities include but are not limited to:
- Representing a diverse clientele including hospitals health systems physician groups and long-term care facilities as well as pharmaceutical companies medical device manufacturers and health information technology firms.
- Guiding clients through the purchase or sale of healthcare entities like hospitals physician practices and software companies.
- Assisting with loans private equity investments and other capital markets transactions in the healthcare sector.
- Conducting thorough legal reviews of a target companys operations finances and legal standing before a transaction is finalized.
- Structuring and drafting agreements for strategic partnerships between healthcare organizations.
- Negotiating and drafting a wide range of agreements including physician employment contracts vendor agreements and managed care contracts.
- Ensuring transactions comply with healthcare-specific laws and regulations which can include HIPAA anti-kickback statutes and Stark Law.
- Providing general advice on corporate governance risk assessment and succession planning for healthcare clients.
