STRATACACHE is searching for a Lead Contracts Counsel. This incumbent is a key member of the corporations executive team responsible for overseeing all assigned legal matters within the organization. Reporting to the CEO their primary role is to provide legal guidance and support to the companys management and ensure that the company operates within the boundaries of the law. The ideal candidate must have previous experience with software licensing and software managed services agreements. Additionally the candidate will need to have prior experience and/or a comfort level with being the sole inhouse counsel and be prepared to assist with a variety of legal tasks both in the US and abroad.

Core Responsibilities:

  • Contracts and Agreements: Draft review and negotiate a wide range of contracts including but not limited to: Vendor contracts partnership agreements licensing agreements service agreements and ensure that contracts comply with legal requirements and mitigate legal risks for the company.
  • Litigation Management: Oversee all legal disputes and litigation involving the company work with external counsel to develop litigation strategy manage legal proceedings mitigate legal risks and minimize potential liabilities arising from litigation.
  • Regulatory Compliance: Stay informed about changes in laws and regulations that may affect the company develop and implement compliance programs to ensure adherence to relevant laws and regulations and provide guidance on regulatory matters to relevant departments within the organization.
  • Risk Management: Identify legal risks and develop strategies to mitigate them and implement risk management policies and procedures to protect the companys interests.

Qualifications

  • Being the sole internal counsel for a group of companies
  • Taking over for an incumbent who is retiring
  • Opportunity to build the legal function
  • Deal making experience for companies selling software (on premise SaaS Managed Services)
  • Highly preferred candidate come from the Software Industry
  • Juris Doctor (J.D. degree from an accredited law school and admission to the bar in the jurisdiction where the company operates required.
  • Minimum of 5 years of experience handling software related services and/or manage services contracts required.
  • Prior experience practicing law with significant experience in corporate law contracts and commercial transactions is required.
  • Experience as sole inhouse counsel and/or a smaller 23 person law firm is desired.
  • International experience is desired (Canada Mexico and/or EMEA).
  • Ability to operate autonomously with strong analytical problemsolving and communication skills.
  • Ability to work effectively in a fastpaced fluid environment and manage multiple priorities simultaneously.
  • Ability to work 100 onsite at our Corporate Headquarters in Dayton Ohio.
  • A high level of integrity and ethical standards.
