Designation: Manager/Senior Manager – Corporate Legal
Reporting to: Group Head – Legal & Secretarial
Location: Mumbai
Job Purpose
The role is responsible for the drafting vetting negotiating and execution of diverse legal agreements and documents including but not limited to NDAs MOUs commercial contracts offer documents distribution agreements loan agreements investment agreements and all other business-related agreements. This involves coordination with internal departments external parties and legal firms to ensure compliance and to support successful business transactions.
Key Roles & Responsibilities
1) Drafting vetting and execution of Non-Disclosure/Confidential Agreements and
Memorandum of Understanding with various service providers bankers clients and
other stakeholders.
2) Drafting vetting and execution of agreements/contracts for matters related to HR
Corporate Services real estate IT Finance etc.
3) Drafting vetting and execution of transaction-based documents such as Offer
Document/Private Placement Memorandum for issuance of securities subscription
agreements LPAs side letters security documents merger & slump sale related
documents and such other business arrangement documents.
4) Review and negotiate with external counterparties client agreements including
distribution brokerage vendor and any other related agreements.
5) Coordinating with law firms arrangers and intermediaries for drafting vetting and
execution of structured finance documents including but not limiting to Loan/Facility
Agreements inter corporate deposits debt transaction documents like Deed of
Hypothecation term sheets and Security Creation with the Banks Financial Institutions
and Security Trustees.
6) Vetting and negotiating execution of the Investment cum Share Subscription/Share
transfer Agreement for Private Equity Investment while liaising with law firms and such
other authorities.
7) Provide guidance to all departments across Group on legal matters with the support
and advice of legal consultants.
8) Coordinate with external counsel on litigation arbitration and dispute resolution
matters & ensure litigation management by maintaining record of ongoing cases and
track progress.

Report Writing & Documentation
Sound Knowledge on Key Regulations: SEBI regulations (including but not limiting to Mutual Fund) RBI the Companies Act 2013 etc.
Minimum Qualification LLB/LLM
Corporate Legal
Number of years of experience 6-7 years
Experience (Specific to any Organization / Department)
Around 6-7 years’ experience in a similar role in the Financial Services industry. He/she should have experience in handling all Legal matters for the organization.
