Position Overview

We are seeking a skilled Corporate Services Specialist to join ourUSbasedteam providing comprehensiveglobalcorporate secretarial and compliance services to a diverse portfolio ofinternationalclients. This role requires a detail-oriented professional with strong technical knowledge of corporate governance regulatory compliance and corporatesecretarial practices.

Key Responsibilities

Corporate Secretarial Services

  • Manage global compliance engagements which include the preparationand filing ofstatutory documentswith localregistries
  • Maintainaccuratestatutory registers and corporate records for clientcompanies using Diligent Entities software
  • Draft board resolutions minutes and other corporate documentation
  • Ensure compliance with relevantlocallegislation corporate governance codes and regulatory requirements

Client Relationship Management

  • Serve as primary point of contact for assigned client portfolio
  • Provideexpert advice on corporate governance matters statutory obligations and regulatory changes
  • Build andmaintainstrong professional relationships with clients understanding their business needs and objectives
  • Respond promptly to client queries and requests ensuringhigh levelsof client satisfaction
  • Collaborate with clients internal teams external advisors and auditors asrequired

Compliance and Risk Management

  • Monitor and ensure ongoing compliance with statutory and regulatory requirements
  • Identifypotential compliance risks and recommendappropriate mitigationstrategies
  • Keep aheadof legislative changes and regulatory updates affecting clients
  • Implement andmaintainrobust compliance procedures and documentation standards
  • Conduct periodic compliance reviews and health checks for clientcompanies

Project Management and Special Assignments

  • Manage corporate restructuring projects including mergers acquisitions and reorganizations
  • Coordinate entity formations dissolutions and other corporate changes
  • Assistwith due diligence exercises and transaction support services
  • Handle complex multi-jurisdictional matters and coordinate with internationalnetwork
  • Support business development initiativesand respond to requests for proposals

People Management

  • Management of a team of more junior corporate specialists overseeing capacity workflowqualityand individual development

Required Experience/Skills

  • Bachelors degree or relevant work experience
  • Minimum 3-5 years of experience in corporate secretarial services
  • Strong knowledge of UScompany lawglobal compliance managementcorporate governance principles and regulatory frameworks
  • ProficiencyinDiligent Entitiesand Microsoft Office
  • Excellent drafting and documentation skills
  • Strong analytical and problem-solving abilities
  • Understanding of financial statements and corporate structures
  • Knowledge of international corporate structures and cross-border transactions
  • Exceptional attention to detail and accuracy
  • Strong organizational and time management skills
  • Excellent verbal and written communication skills
  • Ability to work independently and manage multiple priorities
  • Discrete handling of confidential information
  • Adaptability and willingness to learn new areas of expertise

$131000 - $164000 USD
