As a Project Manager III within PNCs Legal organization you will be based in Pittsburgh PA; Philadelphia PA; Washington DC; or Birmingham AL.

This individual will have a key role in helping to establish and will operate and maintain an enterprise system for legal entity management that covers PNCs core subsidiaries and other subsidiaries/affiliates.

This individual will also prepare and maintain corporate records for these subsidiaries e.g. board and shareholder resolutions stock registers stock certificates and meeting minutes.

- High-volume director/officer elections across the corporate group. Working individually or with team member(s) perform the following:
o Create and administer a detailed project checklist / workplan
o Prepare resolutions
o Circulate resolutions for signature via digital platforms and/or email
o Update minute books
o Update legal entity management database
o Collaborate with line of business attorneys Tax and other shared services groups

- Extensive legwork to stand up a legal entity management database including: high-volume corporate records research (electronic and hard copy records) data validation data entry and making inventory of corporate records. May work individually or with team member(s) depending on project phase and team member availability. Responsibilities include:
o Understanding of corporate records corporate formalities (piercing corp. veil)
o Understanding of legal entity management for corporate group
o Prepare stock certificates stock registers as needed
o Prepare other types of corporate records as needed
o Attention to data relationships and impact on data retrieval from database
o Contribute to development / design of database

- Help administer / maintain the legal entity management system as an enterprise solution. Responsibilities include the following:
o Collaborate with Technology Legal Operations and Enterprise Third Party Management
o Take steps needed to maintain database in good standing at PNC
o Create maintain and update written policies / procedures
o Provide training to database users and monitor new users
o Audit data
o Create organizational charts at request of line of business attorneys and Tax
o Create and as applicable execute / perform workflows in the database
o Stay up-to-date on vendor enhancements to database functionality
o Respond to queries from Enterprise Testing Services Internal Audit

- Respond to requests for incumbency certificates and corporate history information. These requests are managed through a dedicated intraweb portal / database.

- Support subsidiary board meetings working individually or with team member(s):
o Attend meetings and prepare meeting minutes
o Prepare resolutions as needed
o Schedule meetings as needed

- Awareness of changes to US / state law affecting legal entity compliance
- Other projects as applicable

Job Description

  • Manages the most complex projects from original concept through final implementation and post-project assessment. Accountable for meeting project objectives within established timeframes. May be assigned a single project or a portfolio requiring extensive planning oversight and communication across multiple segments channels or lines of business. Typically project size may be greater than $2.5m.
  • Develops strategy processes resource allocation budget guidelines and support of project management team.
  • Partners with internal project liaisons to acquire resources assigns tasks directs activities and controls project execution. Coaches and mentors project team members.
  • Tracks and reports progress analyzes the results based on facts defines the products of the project and forecasts future trends in the project. Proactively manages changes in project scope identifies potential crises devises contingency plans and recommends improvements based on results.
  • Maintains communications for governing bodies and interested parties. Communicates project expectations to team members and stakeholders in a timely and clear fashion.

Pay Transparency

Base Salary: $85000.00 $149500.00

Salaries may vary based on geographic location market data and on individual skills experience and education. This role is incentive eligible with the payment based upon company business and/or individual performance.
