CDEVs portfolio represents over $75 billion of assets through eight subsidiaries forming the CDEV Group of Companies. Its high-profile roles in recent years include the purchase and ongoing management of the Trans Mountain pipeline the establishment of the $15-billion Canada Growth Fund and the establishment and operation of the Large Employer Emergency Financing Facility (LEEFF) program which provided over $7 billion in structured bridge financing to large Canadian companies who were impacted by the COVID-19 pandemic. The CDEV Group of Companies continues to grow with CDEV having been mandated to lead the delivery of the $10-billion federal Indigenous Loan Guarantee Program the $10-billion Large Enterprise Tariff Loan facility and structure a significant financing agreement with Telesat Canadas largest ever space program.
Position Overview
In response to continued growth CDEV is expanding its legal team with the addition of a new Legal Counsel role. This role reports to the Executive Vice President General Counsel and Corporate Secretary working closely with members of CDEVs legal team and the organization more broadly. The role will provide legal support on a broad range of matters and contribute to the effective execution of CDEVs strategic objectives which aim to advance the economic development of Canada through expert financial and commercial expertise including making investments and managing assets that advance Canadas economic growth.
The selected candidate will be based in downtown Toronto currently with a hybrid work option.
Responsibilities
The Legal Counsel will be responsible for:
- Providing legal advice and transaction expertise in relation to a variety of projects within the scope of CDEVs mandate.
- Advising on structured financing loans loan guarantees equity investments M&A and divestitures.
- Advising on Indigenous economic participation.
- Negotiating agreements instructing external legal counsel on transaction documents.
- Assisting with legal aspects in relation to portfolio management and monitoring.
- Playing a key role in any restructurings to the extent necessary.
- Anticipating identifying and assisting in managing legal risks.
- Planning developing and executing on a variety of complex mandates and innovative projects.
- Generally assisting on legal matters as they arise.
- Liaising with subsidiaries and building relationships with internal and external stakeholders.
- Representing CDEV in external meetings as required.
- Working on special projects with the Executive Leadership Team as required.
Key Skills and Attributes
Education
- Bachelor of Laws (LL.B) or Juris Doctor (JD) from a recognized Canadian law school (or equivalent international qualification recognized in Canada).
- Membership in good standing with a provincial or territorial law society and entitled to practice law in Canada.
- Successful completion of bar admission requirements (including articling or law practice program)
- Additional education or certification in areas such as corporate governance public administration or finance is considered an asset.
Legal and Transactional Expertise
- Minimum of 5 years of relevant experience leading complex transactions
- Strong understanding of corporate/commercial and securities law.
