Overview of Role

We are looking for a highly motivated and detail-oriented Legal Counsel to support our growing partnership function. This role will primarily involve reviewing and negotiating a variety of partner and client agreements with a strong focus on ensuring back-to-back alignment between Googles Solution Agreement and end- client contracts flowing down applicable terms where required. The candidate will work closely with internal stakeholders including the Partnerships Sales and Delivery teams to ensure risk is managed appropriately and contractual obligations are aligned across agreements.

Responsibilities

  • Partner & Client Contract Support
    Draft review and negotiate contracts related to Google partnership transactions subcontracting arrangements solution resale and end-client agreements.
  • Ensure contracts are properly aligned and terms are flowed down accurately from Google Solution Agreements to end customer contracts and service providers.
  • Back-to-Back Alignment
    Conduct thorough reviews of Googles standard agreements and client contracts to ensure consistent obligations especially around data privacy indemnity IP and liability.
  • Legal Risk Management
    Identify contractual risks and propose mitigation strategies while balancing business objectives and compliance.
  • Cross-Functional Collaboration
    Partner with business teams (Sales AllianceRequired Skills & Experience:



Qualifications

  • Bachelors degree in Law (LL.B. or equivalent);
  • 12 years of post-qualification legal experience (in-house or law firm) with a focus on technology SaaS or IT services contracts
  • Strong understanding of contract law and commercial law
  • Experience reviewing and negotiating complex B2B agreements especially those involving multiple parties (e.g. vendor client partner triads)
  • Familiarity with cloud/SaaS agreements and partner program structures (Google AWS Microsoft etc.) is a plus
  • Excellent negotiation drafting and communication skills
  • Strong business acumen and ability to align legal strategy with business goals
  • Comfortable working in a fast-paced agile and collaborative environment
