Role OverviewThe Company Secretary will play a critical role in ensuring the companys compliance with statutory and regulatory requirements. The role involves advising the Board of Directors and senior management on corporate governance matters and overseeing all secretarial functions of the organization.
Key Responsibilities Secretarial ComplianceEnsure compliance with all applicable corporate laws and regulations.
Prepare and file statutory returns forms and documents with the Registrar of Companies (ROC) and other regulatory authorities.
Maintain statutory registers and records.
Coordinate with external auditors for timely completion of statutory audits.
Organize and attend Board and Committee meetings.
Prepare and circulate meeting agendas minutes and resolutions.
Ensure accurate documentation and record-keeping of board proceedings.
Advise the Board on corporate governance best practices.
Develop and implement corporate governance policies and procedures.
Monitor and ensure compliance with corporate governance frameworks.
Draft and review legal documents contracts and agreements.
Provide legal advice on corporate matters.
Liaise with external legal counsel as needed.
Monitor changes in relevant laws and regulations.
Advise management on regulatory implications of business decisions.
Prepare responses to regulatory inquiries and notices.
with Company Secretary (CS) qualification fully cleared.
3 to 5 years of experience in a similar role preferably in a listed company within the infrastructure or construction industry.
In-depth knowledge of corporate laws and compliance requirements.
Excellent written and verbal communication skills.
Strong organizational and time management abilities.
Capable of working both independently and collaboratively.
Strong analytical and problem-solving abilities.
High attention to detail and accuracy.
Proficiency in MS Office (Word Excel PowerPoint).
Knowledge of corporate governance frameworks and best practices.
Ability to adapt to evolving regulatory landscapes.
