Who were looking for:

Zendesk Legal is looking for an experienced Senior Counsel to join its growing worldclass legal team to facilitate growth and mitigate risk at Zendesk through support of the corporate function. You will have the opportunity to make a lasting impact on an active strategic transactions program at a highgrowth private equitybacked company.

This role reports to the Director Corporate and Securities who leads governance securities and strategic transactions for the company. The position is remote eligible.

What youll be doing

  • Lead the M&A function for the legal team.

  • Foster growth and expansion through acquisitions by developing strategy and structuring for critical strategic transactions and negotiating alongside Corporate Development on behalf of the business.

  • Manage risk for the business by negotiating principal deal related documents.

  • Realize efficiencies through leading outside counsel and crossfunctional diligence teams.

  • Advise business leaders on legal and strategic risks and propose business oriented solutions

  • Work with integrations counsel the Integrations Management Office and crossfunctional teams to develop realistic and healthy integration plans and support other postclosing matters.

  • Assist the Corporate Legal team on various other corporate matters including entity management investor relations corporate governance and securities regulations.

  • Own other special projects/processes as necessary and/or desired.

What you bring to the role

  • 7 years of corporate M&A experience

  • Juris Doctor degree from an accredited law school

  • US state bar active member in good standing

  • Expertise in the M&A process from beginning to postclosing issues

  • Comprehensive understanding of the key strategic risks and opportunities of tech M&A

  • Mastery of key negotiation points and market positions for the tech industry

Basic Qualifications:

  • Proactive and selfstarter on high impact projects

  • Strong curiosity for all aspects of a technology company

  • Resourcefulness in seeking out and finding accurate and relevant information

  • Organized and detailoriented while juggling competing priorities

  • Excellence in forming wellreasoned judgements in complex situations with limited information

  • Solutionoriented mentality and the ability to make riskbased judgements

  • Strong business acumen and ability to distill legal advice into actionable guidance for business partners

  • Team player with an understanding of how all crossfunctional teams contribute to the success of a transaction

  • Effective communication with individuals at all organizational levels including executives and senior management

  • Ability to uphold the highest standards of discretion and confidentiality

The US annualized base salary range for this position is $190000.00$284000.00. This position may also be eligible for bonus benefits or related incentives. While this range reflects the minimum and maximum value for new hire salaries for the position across all US locations the offer for the successful candidate for this position will be based on job related capabilities applicable experience and other factors such as work location. Please note that the compensation details listed in US role postings reflect the base salary only (or OTE for commissions based roles) and do not include bonus benefits or related incentives.

Hybrid: In this role our hybrid experience is designed at the team level to give you a rich onsite experience packed with connection collaboration learning and celebration while also giving you flexibility to work remotely for part of the week. This role must attend our local office for part of the week. The specific inoffice schedule is to be determined by the hiring manager.
