Summary: We are seeking an associate attorney with significant M&A experience from an Amlaw 100 law firm. This is a great opportunity to capitalize on your legal experience the PE and Law Firm contacts you have earned and your drive to achieve professional success. ATTORNEY RESPONSIBILITIES:
Review merger stock and asset purchase agreements disclosure schedules and closing documents; and performing due diligence and drafting related memoranda;
Drafting organizational documents including provisions relating to common and preferred stock; subscription shareholders partnership and limited liability company operating agreements; investor rights voting right of first refusal and cosale and indemnification agreements; joint venture documentation; and general corporate contracts; and
Drafting loan and security agreements notes pledge and control agreements collateral assignment documents guarantees and intercreditor agreements; and convertible note and bridge loan documents all a plus.
Producer Responsibilities:
Use existing contacts and develop new contacts with PE and Law Firms to originate new business
If applicant owns a book of business or if applicants current employer is willing to sell the book of business hiring agency is very open to purchasing.
Experience working with midmarket to large market commercial clients
