Job Summary
- Support end-to-end company secretarial functions for public and private companies including board and committee meetings AGMs and regulatory filings.
- Ensure compliance with SEC NGX CAC and other relevant regulatory requirements.
- Maintain statutory registers and ensure timely submission of statutory returns.
- Prepare and review governance documentation including board packs resolutions and shareholder communications.
- Advise on corporate governance best practices and assist in implementing relevant frameworks for clients.
- Liaise with external regulators auditors and legal advisers.
- Support corporate transactions such as rights issues share reconstructions and public disclosures.
- Strong understanding of Corporate Governance Compliance Management and Company Secretariat practices
- Proven experience in preparing documentation managing board and committee meetings and drafting reports
- Excellent communication and stakeholder management skills
- Ability to work independently and as part of a team in a hybrid work environment
- Ability to work in a fast paced environment
- Detail-oriented with strong organizational and analytical skills
- Minimum of 4 years experience in a corporate secretarial or governance role with at least 2 years handling governance for a publicly listed company.
- Strong understanding of SEC rules NGX listing requirements and corporate governance codes.
- Professional qualification such as ICSAN or ongoing certification is an advantage.
