Overview of the role:
Saputo is seeking a Director Governance and Securities for an existing opportunity within our organization
Reporting directly to the Executive Vice President Legal Affairs the Director Governance and Securities plays a key role in providing strategic support to Saputo Inc. on matters related to corporate governance disclosure and capital markets compliance. This position offers direct exposure to the Board of Directors an international scope and the opportunity to have a lasting impact on the practices of a global publicly listed issuer.
Your Responsibilities
Corporate Governance
Act as a strategic advisor to senior management and the Board of Directors on corporate governance best practices
Actively contribute to the development and evolution of the Companys governance strategy
Participate in planning the agendas of the Board of Directors and its committees ensuring strategic alignment
Oversee the management organization and drafting of Board and committee documentation
Work closely with the CFO on matters under the Audit Committees mandate and with the CHRO on matters under the Corporate Governance and Human Resources Committees mandate
Oversee the management of corporate entities and Saputo Inc.s global subsidiaries
Lead corporate reorganization projects
Contribute to the development updating and continuous improvement of internal policies
Securities and Disclosure
Participate in the design and execution of the Companys disclosure strategy
Advise management on securities law matters and regulatory obligations
Oversee the preparation of the management proxy circular and the annual information form
Collaborate in the drafting and review of other public disclosure documents
Proactively monitor legislative regulatory and bestpractice developments in governance and disclosure
Support the implementation and administration of longterm incentive plans and employee share ownership plans
Leadership
Lead and mobilize a highperforming team while fostering a culture of excellence collaboration and business partnership
Exercise credible and strategic influence with senior leaders across the organization
You are best suited for the role if you have the following qualifications:
Member of the Québec Bar
12 years of experience in corporate and securities law ideally in a public company or large law firm environment
Fluency in both French and English required to interact with stakeholders at all levels of the organization
Excellent communication drafting and ability to translate complex concepts into clear guidance
High level of professional rigor sound judgment and discretion
Ability to thrive in a demanding and constantly evolving environment
Recognized leadership skills with a proven ability to influence and advise senior management
