About the Role:
This is a high-impact role supporting attorneys on complex corporate transactions and governance matters. You will play a key part in structuring business entities managing transactional documentation coordinating due diligence and ensuring compliance across multiple jurisdictions.
The ideal candidate has at least five years of relevant experience across most of the areas listed below and brings a proactive solutions-oriented mindset. While experience in every area is not required a strong foundation and willingness to quickly deepen expertise is essential.
This position offers direct exposure to sophisticated business transactions and client interaction making it an excellent opportunity for a paralegal seeking substantive responsibility and professional growth.
Key Responsibilities:
- Assist with business entity formations and organizational structuring
- Prepare and manage documentation related to dissolved entities and tax clearances
- Support sales mergers and acquisitions including transaction coordination
- Draft and manage disclosure schedules
- Conduct and organize due diligence materials
- Prepare and compile closing binders
- Draft corporate bylaws written consents and LLC operating agreements
- Handle state filings including jurisdictions outside of Pennsylvania
- Prepare audit response letters
- Participate in client-facing communications and support client deliverables
Qualifications:
- Minimum of 5 years of experience in corporate or transactional law
- Strong understanding of business formations and corporate governance documentation
- Experience supporting M&A transactions and due diligence processes
- Ability to manage multiple matters with strong organizational discipline
- Exceptional attention to detail and document accuracy
- Proactive attitude and willingness to expand knowledge across new practice areas
- Strong written and verbal communication skills
- Client-focused mindset with professionalism and accountability
