Job Description & Summary

At PwC our people in deals focus on providing strategic advice and support to clients in areas such as mergers and acquisitions divestitures and restructuring. They help clients navigate complex transactions and maximise value in their business deals.

Those in deal integration and valuation realisation at PwC will focus on assisting clients in successfully integrating acquisitions and maximising the value of their investments. You will be responsible for conducting valuations financial analysis and developing strategies for post-merger integration.

Your role is crucial in driving business growth shaping the direction of client engagements and mentoring the next generation of leaders. Core responsibilities as a Director would entail (but not limited to)

As a Director youll work as part of a combined UK and India based team of problem solvers helping to solve complex business issues from strategy to execution through supporting global consulting engagements from India. PwC Professional skills and responsibilities for this management level include but are not limited to:

  • Uphold the firms code of ethics and business conduct
    The incumbent will lead project teams across the entire deal continuum in the pre-deal evaluation post-deal execution and maximizing value stages of a transaction. They would be required to lead project teams on global engagements from India driving companys strategic and operational initiatives implementing innovative solutions measuring results early and often and ensuring performance meets the desired targets.
    Job responsibilities mainly include activities driven towards delivering results - conduct analyses and develop insights prepare work plans work directly with global project teams and facilitate meetings to enable decision making organize and write recommendations on client issues and participate actively in new business development thought leadership and firm building activities.
    As the leader of the M&A Operations team in India you will also be involved in India with the:
  • Set-up ramp-up and future growth strategy of the Indian team
  • Local people management including recruitment training development and performance management
  • On-the-ground team support such as dealing with any grievances concerns team wellbeing etc
  • Liaising with the UK Acceleration Centre leadership team and the Acceleration Centre leadership team in India

Must-have skills

  • Leading large teams / multiple clients simultaneously
  • Delivering significant business results that utilize strategic and creative thinking problem solving and taking individual initiative
  • Ability to synthesize complex information and generate meaningful insights based on analysis of clients data and information from primary and secondary research
  • Experience with analysis and modelling using Microsoft Excel PowerPoint Microsoft Visio Visual Basic Tableau Power BI Alteryx UI Path or other similar tools
  • Experience in evaluating clients operations with limited amount of data understand financial statements and the impact of cost levers on clients business evaluate the clients IT systems with limited amount of data
  • Strong business acumen with analytical and problem-solving skills and ability to understand how business model decisions impact operating model design/ execution across operations technology risk governance and organizational design develop business case for capex investments and identify the extent of investments for a successful transaction
  • Secure new business development and project extensions including client lead maturation proposal development and closing new business opportunities
  • Strong understanding of project management techniques and tools ability to work in high pressure deals environment
  • Ability to support business and practice development efforts (e.g. proposals thought leadership case studies work plans and internal team metric trackers)

Experience

Candidates should demonstrate experience and knowledge in any industry sector and in at least 3 of the following areas:

Pre-deal Analysis:
Operations Due Diligence: Assist clients (buy-side or sell-side) to conduct a detailed analysis of front-office and back-office operations and assess potential merger synergies standalone improvement opportunities and risks.
IT Due Diligence: Assess IT landscape for clients to evaluate go-forward risks costs and planning of integration of technology applications and infra
Value Capture: Identify performance improvement opportunities and best practices through industry and functional expertise to increase value for client

Execution / Post-deal Analysis:
Integration Management: Work with clients functional leads to chart out workplans and execute integration in back-office and front-office processes systems and employees
Separation Management: Assist sell-side clients to carve out target company while minimizing impact on eithers operations. Identify TSAs and reverse TSAs and create workplans to ensure smooth transfer of ownership
IT Program Management: Integration or carve out planning and execution for clients in order to manage technology systems application and data and create maximum value from a transaction by streamlining systems and processes.
Synergy Tracking / Value Capture: Work with client to identify best practices to improve operating efficiencies and profitability. Also tracking identified synergies to ensure expected value is realized in a transaction.

Eligibility Criteria

  • MBA in Strategy/ Marketing/ Finance from a premium B-School
  • Past Experience: 12 years of prior relevant work experience
  • Experience in M&A or management consulting domain
