Job Description
This function is accountable for providing specialized agency services in Project Finance for a syndicate of lenders on behalf of Farm Credit System banks and/or commercial banks. Specifically Administrative Agency administers the loan facilities with the borrower under a credit agreement and depositary agreement. This includes review and execution of monthly or quarterly transfer certificates for borrowers in both construction and operation. This role applies knowledge of lending products and accepted syndication and administration practices in Project Finance.
Essential Functions
- Supports Relationship Managers from an Agency perspective for an assigned portfolio of accounts and new business opportunities as capacity permits. This portfolio is inclusive of complex Project Finance transactions covering primarily renewables and thermal power.
- Reviews draft loan documentation with limited oversight assessing the impact of the legal structure on ongoing Agency processes. Coordinates pre-closing legal documentation changes and revisions with Project Finance deal teams and LLP. Based on legal documentation review provides clear communication and direction to Collateral Agent and Depositary Agent with respect to changes to the collateral package and/or adherence to the cash flow waterfall that is governed by the Depository Agreement.
- Performs (monthly/quarterly) transfer certificate review approval and processing with limited oversight. Controls conditions precedent drawdowns and repayments of assigned transactions.
- Assists Relationship Managers and Portfolio Managers with Managers oversight to develop and implement marketing and account servicing plans for assigned accounts and supports RMs in developing Agency proposals for prospective accounts. On an annual basis review/recommend/calculate Agency fee.
- Perform agent duties that require active communication with internal stakeholders and external customers (borrowers lenders and participants) on borrowing requests annual budget reviews and amendments/waivers/consents for Project Finance borrowers which CoBank leads. Handles customer questions and concerns related to billing documentation and other inquiries.
- Assist in coordinating and participate in all-Lender / sponsor calls if needed. Collaborate with the deal team and Capital Markets to coordinate the action of the lenders as agent in accordance with the financing agreements for amendment/waiver/consent requests.
- Work to acquire expertise in Project Finance lending practices including credit legal and compliance issues for both internal controls and procedures.
- Assist in fine tuning the roles and responsibilities for Project Finances Administrative Agency function. This includes developing implementing and regularly reviewing (in consultation with Project Finances team leadership) Administrative Agency procedures job aids and best practices.
- Develop and utilize computerized spreadsheets programs and other automated tools for analysis special projects or presentations.
Education
- Bachelors Degree required
- Bachelors degree may be substituted with four years of related experience (four years is in addition to what is minimally required for the role) or an equivalent combination of education and related experience.
- Masters Degree in finance or accounting preferred
Work Experience
- 5 years of experience in banking/financial services required
- 2 years Loan Operations Closing Credit or Finance required
- Prior Experience and knowledge of legal documentation structuring and underwriting large complex non-recourse transactions preferred. preferred

The typical base pay range for this role is between $98500 - $121180. Compensation may vary based on individual job-related knowledge skills expertise and experience. This position is eligible for a discretionary annual incentive program driven by organization and individual performance.
