Whatyoullbe doing

The Director Compensation Regulatory Compliance Regions (outside North America) is accountable for regulatory compliance activities as they relate to compensation.In this capacity the Director will be accountable forleading oncompensation regulatory developments for regions outside of NorthAmerica. TheDirectorwill contribute totheUK RemunerationCommittee(RemCo)theLuxembourg Board requirements and Australia requirements as well as researchmonitorand develop strategies (and ifadditionalcommittees) forcomplying withregulatory requirements in the regions in which weoperateoutside of North America. The Director will be accountable for determining if there are any regulatory requirements across all regions; working with required stakeholders to fulfill the obligations of the regulatory requirements and ensure the RR&P team and/or the HR teamisincomplianceintermsofwhatneedsto bereviewed/approvedthroughouttheyear.TheDirectorwillbe responsible foreducating and providing advice and counsel and education to relevant stakeholders on regulatory developments or requirements.

The Director will lead the regulatory contributions across the respective Committees develop strategies for disclosure of key compensationitemsand buildexpertiseregardingcompensationanddisclosurerequirementsforourkeyregionsoutsideofNorthAmerica.The Director willmonitorregulatory requirements and best practices and may also be involved in supporting or providingexpertiseand guidanceregardingregulatory requirementstocompensationHRor partners in the addition to advising on specific content the Director will be accountable for creating content for specific items/deckseach meeting to meet what isfor eachCommittee orforsubmissionto one of the other Committees or the Board.

  • Committee Work-Contribute to the UKRemCoandLuxembourgBoardwithinputfromSEVPPeople Culture and Brand SVP HR SVP Rewards Recognition and Performance and the VP Executive Compensation and Governanceand VPTotal Rewards Regulatory Compliance and Mergers and Acquisitions. Build relationships with allstakeholdersacrossHRand/orthebusinesstomeettheregulatoryrequirementsand ensure compliance.Provideadviceandcounselontheinterpretationofregulatory requirements andoversight/approvalguidelines.Developmaterialsbyresearchinganalyzingandformulatingrecommendationsonvariouscompensation policies requireddisclosuresand regulatory compliance related matters. Manage regulatoryoperationaland reputational risks to ensure that regulatory and legislative requirementsareappropriatelyincorporatedincompensationpoliciesandprocessesrelatingtothejurisdictionsin which weoperateoutside of North America

  • Compensation-Proactivelymonitorregulatorytrendsand updatesandrecommendenhancementstoensureCIBCmaintainsandcomplieswithall requirements outside of North America. Assumealeadroleorco-leadwithinternalpartnersacrossHRgloballytomeetregulatorenquiriesand fulfill disclosure obligations.

  • People Management-Supportthesettingofcleargoalsandexpectationsestablishprioritiesandprovideeffectivemanagerial direction through coaching guidance personal development and input on performance review andevaluation.Createapositiveworkenvironmentbybeinganeffectiverolemodelandbycreatingawinningworkenvironment

Who you are

  • Youdemonstrateexperience.In-depthunderstandingofgovernanceandeachCommitteesmandateassociatedboardoversightrequirementsand approval guidelines. Advancedexpertiseinthedesigndevelopmentandimplementationofgovernanceprocessesrelatedto compensation including emerging trends. ProvenexperienceinconsultingtoBoardandseniorexecutives.Provencompensationknowledgeandexperience.

  • Regulatory Requirement experience. Extensiveknowledgeofregulatoryrequirementsasitrelatestocompensationrelatedgovernanceanddisclosure.

  • Youdemonstratestrong project management.Strongprojectmanagementskillsandabilitytohandlecomplexandcompetingprioritiesandissuesin order tomeet deadlines and deliverables.

  • Youdemonstratestrong communicationskills.Strongcommunicationcoordinationandinfluenceskillsinordertoworkeffectivelywithkey stakeholders both within and outside CIBC. Ability to anticipateissues and/or questions that may arisefrom annual shareholder meetings ormedia in order to appropriately prepare responses on behalf of Corporate Communications senior managementtheSEVPPeopleCultureandTalenttheSVPRewardsRecognitionandPerformanceand the VP Total Rewards Regulatory Compliance and Mergers and Acquisitions.
