Responsibilities include:
- Provide transaction support and commercial risk management in relation to the following areas:
- Underwritten syndicated loans with all ancillary documentation;
- Co-ordination and leadership of deal team driving and responsibility for timely execution of transactions;
- Structuring negotiating and drafting of mandate documentation and term sheets;
- Ownership of loan documentation process including review and negotiation from a commercial perspective versus review from legal perspective;
- Focus on acquisition finance and structured transactions.

- Support in driving the integration of loans and bonds and provide the best debt financing solutions to clients.
- Liaise with clients external lawyers trustees and other parties on transactions.
- Work seamlessly with regional origination and distribution teams to deliver on agreed KPIs.
- Direct client engagement/interaction including leading transaction correspondence with external parties.
- Coordination of internal stakeholders/departments such as Agency Loan Admin etc. and ensuring their requirements are satisfied in advance of funding.
- Advise on and manage respective products transactions originated in Asia including preparing reviewing negotiating and approving the relevant legal documentation.
- Monitor identify and advise on commercial/legal risks in support of the respective products.
- Monitor and advise on regulatory changes in Asia-pac which are relevant to MUFG Securities and work with the Legal and Compliance on the effect of such changes in Asia-pac.
- Maintain databases and records of agreements and related documentation.
- Participate in external and/or internal committee(s)/working group(s) relating to regulatory changes bonds and loans.
- Ensure reasonable measures are taken into account on all cross-entity booking activities and remain aware of and comply with all local regulatory and company requirements.
- Comply with MUFGs internal risk and compliance requirements controls procedures and trade relating policies. Comply with all legal and regulatory requirements emanating from any of the regulatory authorities to which MUFG is subject to.
- Comply with the requirements of MUFGs Volcker Compliance Program including the relevant Volcker Desk Procedures and related permissions.
- Manage and develop relationships with clients (where applicable) with a view to expand the department/unit/international business enhancing the franchise of MUFG.
Requirements
- Singapore / English / Australian qualified mid-senior lawyer will be preferred (will consider other jurisdictions)
- Experience at top-tier Singapore or English law firm and/or in-house experience in banks / financial institutions in Asia are preferred
- At least 6 years post-qualification experience with at least 3 years on loan transactions
- Preferred experience includes (a) with preparing and negotiating confirmations for vanilla and complex transactions (b) obtaining and reviewing netting collateral and enforceability of opinions in Asian jurisdictions and (c) experience on regulatory matters in Singapore and/or other jurisdictions in Asia
- Familiarity with Asia EU and US regulatory change on financial markets
- Results driven with a strong sense of accountability
- The ability to operate with urgency and prioritize work accordingly
- Strong problem solving and decision making skills the ability to demonstrate sound judgment
- The ability to manage large workloads and tight deadlines
- Excellent attention to detail and accuracy
- A calm approach with the ability to perform well in a pressurized environment
- Excellent written and spoken English. Additional Asia local language skills will be an advantage
