Job Summary

A well-regarded boutique law firm in Northbrook is seeking a Corporate Associate Attorney with 46 years of experience to join its corporate practice group.

Responsibilities

Advise clients on a broad range of corporate governance matters including entity formation board and shareholder issues and compliance obligations
Draft review and negotiate a variety of corporate and transactional documents including operating agreements shareholder agreements bylaws resolutions and ancillary transaction documents
Support mergers acquisitions and other corporate transactions including due diligence and closing processes
Work directly with partners and clients to manage matters efficiently and accurately
Collaborate with other practice groups as needed to support client objectives

Qualifications

46 years of corporate law experience at a medium-sized or similarly structured law firm
Strong background in corporate governance and transactional work
Proven experience drafting complex legal documents with minimal supervision
Solid legal training and attention to detail
Excellent written and verbal communication skills
