We are looking for a qualified Company Secretary (CS) to join our team and handle the secretarial compliance and legal requirements of our Private Limited Company in line with the Companies Act 2013 and other applicable laws. The ideal candidate should have 45 years of post-qualification experience and be well-versed with corporate governance practices.
Tasks*
1) Main tasks:
- Managing secretarial compliances under Companies Act 2013 and secretarial standards and other applicable laws. This includes:
drafting and filing of e-forms returns with the Registrar of Companies within statutory timelines; (DPT-3 MSME-1 drafting of minutes of Board Meetings and General Meetings. drafting of board and general meeting resolutions drafting of board and shareholder meeting notices agenda and related documents. handle corporate restructuring share transfers and issue of share certificates. Dematerialization of shares;
- Maintaining of statutory registers applicable to a private limited company under the Companies Act 2013.
- Managing compliances under the Foreign Exchange Management Act read with extant FDI policy such as drafting and filing of ARF forms FCGPR FLA procuring UIN and registration number from RBI.
- Support the Board and management in corporate governance and regulatory matters.
- Liaise with regulatory authorities auditors and stakeholders as required.
- The role would also need exposure to up-to-date changes in laws assisting in organizing Board Meetings / preparing draft minutes/ liaising / corresponding with Directors.
- Corporate and Commercial transactions; Drafting and vetting of various general agreements MOUs power of attorneys etc.
- Interacting with other functions / departments internal auditors statutory auditors and secretarial auditors for all relevant matters.
- Ensure timely compliance for event-based and periodic filings.

- Qualified Company Secretary (Member of ICSI).
- Good knowledge of corporate laws and secretarial standards.
- Strong drafting multitasking organizational and time management skills with the ability to prioritize tasks and manage multiple deadlines effectively.
- Ability to work independently with attention to detail and accuracy in documentation and record- keeping.
- Ability to work independently and handle confidential information with integrity.
2) Required professional experience (in years):
- 45 years of relevant post-qualification experience in a private/public limited company.

- Excellent written and verbal communication skills with the ability to interact effectively with board members senior management shareholders and external stakeholders.
c) IT skills
- MS Office skills (Outlook Excel PowerPoint Word).
