Expected Salary Range: $90810 - $113512 Annually
Target Variable Performance Pay: 8%
The salary range shown above reflects the expected compensation for this position. The final salary offered will be determined based on a holistic assessment of the candidates experience education training and alignment with the roles requirements. For positions covered by a collective agreement placement within the range will follow the applicable step or classification.
Reporting to the Senior Manager Corporate Governance the Governance Counsel supports the daily operational functions of the Corporate Secretariat and the divisions responsibilities for the organizations enterprise risk management and corporate governance through integration with the risk team and the development analysis and implementation of corporate governance solutions relating to regular and special Board of Directors processes matters and meetings. This includes supporting the management of enterprise risks; the governance relationship with the shareholder; mandates/charters and other documentation; education; evaluation and reporting particularly as these issues relate to regulatory requirements for example OEB and OSC. The incumbent is also responsible for the day-to-day review of all disclosure materials including material legal disclosure for legal compliance as well as consistency with corporate strategy external stakeholder management plans and the organizations risk framework. They will provide legal subject matter expertise in key areas for example Corporate Finance Securities Law Disclosure Affiliate Relationships Code and be the primary business unit liaison to internal stakeholders for resolving applicable legislative regulatory and governance risks.
