We are looking for a highly motivated individual to join a dynamic team and contribute to the Corporate Governance & Sustainable Solutions advisory practice within J.P. Morgans Investment Bank as part of the wider Corporate Advisory function.
The Corporate Governance & Sustainable Solutions team is a specialist group of investment bankers dedicated to advising J.P. Morgans clients on strategic corporate governance and broader board- and sustainability-related mattersand is a vital component of the Investment Banking advisory franchise.
The team plays a crucial role in supporting corporations in the broader governance and sustainability-related aspects of capital markets (e.g. IPO spin-offs) and M&A transactions and shareholder activism.
The ideal candidate combines strong analytical skills with a deep understanding of governance trends shareholder expectations and capital-markets dynamics. This is a high-visibility role with significant senior management exposure and direct engagement with public-company boards across EMEA.
Job responsibilities
- Develop proprietary knowledge and insights into strategic governance issues in M&A transactions and other corporate actions enabling robust advisory support
- Proactively analyse public-market information and news flow around the J.P. Morgan client coverage universe translating complex data into concise digestible formats such as shareholder-base breakdowns and board vulnerability analyses
- Possess and continuously deepen market expertise in EMEA extraordinary and ordinary situations shareholder engagement practices governance best practices and proxy advisory guidelines and articulate these insights clearly to internal and external stakeholders
- Leverage J.P. Morgans global platform by collaborating with industry coverage teams and product specialists in debt equity capital markets and corporate finance advisory synthesizing diverse inputs into coherent findings and messaging for deal teams and senior client management
Required qualifications capabilities and skills
- 5-7 years experience in investment banking governance advisory proxy advisory shareholder engagement law or a related field
- Strong interest in corporate governance board dynamics and shareholder expectations
- Strong understanding of corporate governance codes stewardship practices and proxy-advisory methodologies
- Ability to interpret complex shareholder-base data and communicate insights clearly to senior audiences
- Excellent analytical skills and familiarity with event-driven and activism frameworks
- Exceptional written and verbal communication skills with experience preparing board-level materials
- Maturity discretion and the ability to operate in confidential high-pressure situations
Preferred qualifications capabilities and skills
- In-depth understanding of investor behaviour around key corporate events and of investment banking products
- Experience collaborating with advisory teams (M&A ECM legal investor relations) and in dealing with clients and other transactional advisers
- Other qualifications such as CFA or law degree are highly relevant
