Learning and Development/ Dy. Governance 2.0

Creating Awareness on various laws adherence thereto penal provisions

To focus heavily on creating awareness amongst the designated employees of the Company in connection with critical laws such as Prevention of Insider Trading and Related Party Transactions.

Learning & Development

Assist the Lead Learning and Development/ Governance 2.0 to promote and foster Learning & Development by creating newsletters info capsules communiques and other such content / material on applicable laws Compliances best Governance practices for circulation within the Team Subsidiary Companies Group Level.

Policy Making SOPs Management Group Company Secretaries (GCS) Forum and Group HR

Assist the Lead Learning and Development/ Governance 2.0 to standardize / draft policies SOPs for the Company not only from the compliance standpoint but to match with best Governance practices in the industry while aligning it with the Group practices.

Assist the lead Learning and Development/ Governance 2.0 to work closely with GCS and GHR on various policy making best governance practices and ensuring sustainable implementation thereto.

Research Creation of White Papers Presentations

Assist the Lead Learning and Development/ Governance 2.0 to prepare research documents white papers on various relevant legal matters and ensure upliftment of the team.

Presence in the industry Proxy Advisory Boards SEBI/ ICSI / DJSI and other such bodies

Assist the Lead Learning and Development/ Governance 2.0 to endeavor towards creating a strong image for the Companys Compliance / governance standards / practices to earn a good standing amongst various Proxy Advisory Boards SEBI Institute of Companies Secretaries of India Dow Jones Sustainability Index and other such relevant bodies.

Analyzing proxy reports across various listed entities within and outside the industry

Assist the Lead Learning and Development/ Governance 2.0 In order to adopt best governance practices at Company-level and Group-level w.r.t. Board composition disclosure requirements Annual report Directors profiles etc. To keep in pace with the guidelines issued by the Indian as well as foreign proxy advisors. To liaison and meet with these advisors and seek inputs on regular basis on the changing norms in order to work towards Hindalcos Governance 2.0.

Continuous liasoning with external environment

Assist the Lead Learning and Development/ Governance 2.0 to create industry standards especially in terms of disclosures made public.

Special Projects

Event based - Assist the lead Learning and Development/ Governance 2.0 to working on projects having impact on the business and working of the Company including the Team. These projects range from Capital Restructuring (acquisitions etc.) corporate actions execution of SHA obtaining approvals etc.

Drafting of various Sections of Annual Report

Assist the lead Learning and Development/ Governance 2.0 for Co-ordination w.r.t. BRSR section to be included in the Annual Report as well as XBRL filing of the same

Co-ordination w.r.t. Social Report section to be included in the Annual Report

Providing write-up to be included w.r.t the best disclosures and practices obtained from proxy reports meeting discussions with regulators and other statutory and corporate bodies.

Internal Audit CS Team

Assist the lead Learning and Development/ Governance 2.0 to audit the activities of the team w.r.t. daily tasks and to ensure that the team is adopting the best governance practices.
