Job Summary:

The Company Secretary will be responsible for ensuring the company complies with statutory and regulatory requirements maintaining corporate governance standards and supporting the board of directors. This is a key role for an unlisted Public Limited Company where the secretary may also be expected to handle additional administrative or compliance functions.

Key Responsibilities:

1. Statutory Compliance

  • Ensure the company complies with the provisions of the Companies Act FEMA and other applicable laws.
  • File annual returns and other statutory forms with the Registrar of Companies RBI and other authorities.
  • Maintain and update statutory registers and records (e.g. register of members directors share transfers etc.).

2. Board and General Meetings

  • Organize and coordinate board meetings meetings of committees of the board annual general meetings and extra-ordinary general meetings.
  • Prepare meeting agendas notices resolutions and minutes.
  • Ensure proper recording and safekeeping of meeting minutes.

3. Corporate Governance

  • Advise the board on corporate governance practices directors duties and company law matters.
  • Act as a liaison between the board and stakeholders.
  • Monitor changes in relevant legislation and ensure timely compliance.

4. Liaison and Communication

  • Act as the point of contact between the company and regulatory bodies (e.g. ROC).
  • Coordinate with external advisors (e.g. auditors legal counsel) on compliance matters.
  • Respond to shareholder queries and manage shareholding matters.

5. Record Keeping & Documentation

  • Maintain updated records of directors shareholders share capital transactions with related parties etc.
  • Manage company documents contracts and legal records.

6. Additional

  • Drafting board reports and company policies.
  • Drafting and review of agreements.
  • Support the finance team in handling investor relations and secretarial audits.

Qualifications:

  • Qualified Company Secretary (Member of the Institute of Company Secretaries of India).
  • 1-3 years of relevant experience preferred; freshers with strong knowledge may be considered.
  • Knowledge of Companies Act SEBI regulations and corporate governance best practices.
  • Proficiency in MS Office.
