The Corporate & Transactions Team in the Legal Department of Protective Life Corporation is seeking a high-performing attorney with a minimum of 3 years of experience. The candidate for this position will be responsible for leading certain aspects of corporate governance and investments related legal work working in a collaborative environment with senior attorneys and business leaders. Success in this role requires organizational skills efficiency motivation communication and writing skills attention to detail and the ability to handle multiple projects in time sensitive situations.
Corporate Governance
Responsibilities:
Communication planning and support of meetings of the boards of directors and committees of the U.S. holding company and its subsidiaries
Preparation of board and committee resolutions and minutes of meetings
Execution of corporate actions - formation dissolution and mergers
Maintain compliance with corporate governance requirements
Organize and maintain corporate governance records
Conduct research and analysis as needed
Legal/corporate secretarial support of corporate transactions including mergers & acquisitions financing transactions and regulatory filings
Management of corporate secretarial processes
Investments
Responsibilities: Support of corporate investment department transactions including with respect to:
Derivatives Transactional Support: Provide expert legal advice on over-the-counter and centrally-cleared derivative transactions including the negotiation and drafting of master agreements (ISDA Master Agreement Credit Support Annex Master Repurchase Agreement etc.)
Investments in debt and equity instruments including rated feed noted funds and investment management agreements with third parties.
