Job Purpose and Impact

We are seeking a Senior Paralegal to join our Global Mergers & Acquisitions (MADJV) team. The ideal candidate will play a crucial role in supporting M&A transactions working closely with various internal and external stakeholders and ensuring the smooth execution of all related legal and administrative tasks. This role requires work at least one day per week (and preferably a majority of the time) on-site at Cargills Office Center in Wayzata Minnesota.

Key Accountabilities

  • Draft review revise and negotiate confidentiality agreements and M&A-related ancillary documents.
  • Manage transaction timelines and closing checklists; track due dates and deadlines; close transactions; track post-closing matters.
  • Collaborate with specialists in various areas within the legal department and other functions (intellectual property environmental labor and employment benefits tax insurance IT treasury commercial finance and REI) to ensure accuracy of agreement provisions.
  • Work with legal due diligence teams; review and revise legal due diligence reports and disclosure schedules; coordinate review of disclosure schedules with legal specialists.
  • Coordinate and attend representations and warranties due diligence calls and bring down calls.
  • Work with the Corporate Governance team and the Integration Team on integration checklists.

Qualifications

Minimum Qualifications

  • Bachelors degree in Paralegal Studies Legal Studies or a related field.
  • Minimum of 4 years of experience as a paralegal focused on transactional matters.
  • Basic understanding of M&A processes legal due diligence and transaction documentation.
  • Excellent communication skills.
  • Ability to collaborate within a high-functioning team and to manage multiple tasks and deadlines in a fast-paced environment.
  • Strong organizational skills and attention to detail.

Preferred Qualifications:

  • Experience working with R&W insurance policies.
  • Familiarity with corporate governance and integration processes.
  • Ability to leverage AI to improve work efficiency.

External Applicant Information

The expected salary for this position is approximately $50.00/hour. Compensation varies depending on a wide array of factors including but not limited to the specific location certifications education and level of experience. The disclosed range estimate may be adjusted for any applicable geographic differential associated with the location at which the position may be filled. This position is eligible for a discretionary incentive award. The incentive award amount is dependent upon company performance and your personal.
