WADE TRIM a fullservice engineering firm is seeking a highlymotivated strategic professional to work collaboratively in a corporate environment to work directly with Wade Trims General Counsel in achieving longterm objectives and goals.

We are looking for a Corporate Counsel to join our Legal Team. The candidate must have a Juris Doctor from an accredited law school current state license to practice law or the ability to obtain one through reciprocity and 14 years of legal counsel experience in a major law firm corporation or both. The candidate must also have solid and efficient drafting skills with knowledge of standard contracting administration procedures concepts principles and methods. A flexible hybridremote work schedule is available after 90 days of employment.

Typical responsibilities include:

    • Review draft and negotiate a wide range of contracts and legal instruments communicate areas of concern with suggested solutions and participate in negotiating resolutions; this includes but is not limited to client subconsultant vendor confidentiality teaming licensing digital transmission technology Human Resources real estate and other corporate transaction documents
    • Review applicable insurance requirements for compliance with existing company policies. Assist project managers and accounting team in reviewing subconsultant insurance requirements for compliance with corresponding projects.
    • Work with the Legal Department and Information Technology (among other departments) to implement migrate administer manage and utilize Contract Lifecycle Management (CLM) software; prior experience leading or actively participating in the implementation of CLM software preferred
    • Provide CLM support and training including first level support for CLM training data requests dashboards / reporting and tracking of attributes / obligations
    • Onboard and train new users (both technical and nontechnical) on the CLM system functionality and related processes
    • Assist in development of CLM training materials and user manuals and implement a trainthe trainer model as appropriate
    • Manage contract templates and clause libraries for its commercial contracts with clients partners and vendors
    • Provide legal guidance on contract interpretation and implementation
    • Work with the Legal Department to manage the organizations enterprise risk management program including generating reports relating to contracts and projects administration of the CLM system and education/training of employees regarding legal risk
    • Assist with updating maintaining and communicating records retention policies and procedures
    • Train employees in the identification of project risk their responsibilities regarding risk and risk reduction tools and techniques
    • Provide legal support in regulatory compliance matters
    • Assist in the management of the organizations claims and litigation including working with appropriate business units to resolve claims contract disputes and litigation and providing legal advice as necessary.
    • Assist with claims management including litigation and contract disputes subpoenas and providing legal advice as necessary
    • Investigate and prepare reports of findings into allegations of legal wrongdoing and breaches of company policy
    • Provide legal support for Human Resources issues (policies termination practices workers compensation legal research contract review immigration changing legal landscape for multistate / hybrid work force employer etc.
    • Assist with the maintenance of general corporate legal documentation update/maintain employee stock agreements corporate bylaws notes payable offer letter contract labor agreements summary plan descriptions etc.
    • Assist with the organizations procedure for identifying resolving and addressing projectrelated conflicts of interest
    • Conduct legal research including the drafting of detailed memorandums on a variety of topics relating to contracts Human Resources employment law corporate obligations changes in the law on any variety of topics and any other legal research for legal issues that may arise
    • Assist with legal research as well as managing maintaining and pursing necessary qualifications for all firm licenses required to conduct business across all jurisdictions
    • Provide General Counsel with assistance for mergers and acquisitions
    • Assist the General Counsel with all legal issues that may arise

Education:

    • Juris Doctor from an accredited law school and current state license to practice law or the ability to obtain one through reciprocity

Skills/Experience:

    • Juris Doctor from an accredited law school and current state license to practice law or the ability to obtain one through reciprocity
    • Energetic selfstarter with 14 years of legal counsel experience in a major law firm corporation or both; experience with an engineering firm / legal issues facing engineering companies preferred but not required
    • Solid and efficient drafting skills with knowledge of standard contracting administration procedures concepts principles and methods
    • Negotiation skills and solid ability to make judgment calls during negotiations
    • Integrity discretion and strong analytical and organizational skills with clear attention to detail
    • Exceptional interpersonal and communication (verbal and written) skills
    • Strong work ethic and ability to work both independently and as part of a team
    • Results oriented effective at managing multiple priorities ability to prioritize conflicting demands organize time and resources to meet deadlines and deliver consistent results for the business and bring assignments to successful completion
