Please note: This is a 3month paid contract. Proficiency in both English and French is imperative.
Key Responsibilities
- Negotiate and draft commercial agreements such as master software and services agreement partnership and vendor agreements NDAs and terms of use
- Review and help with responding to requests for proposal (RFP)
- Review current contracts to ensure terms are satisfactory
- Help identify legal and other risks regarding different company initiatives
- Research and advise on a variety of areas of law including intellectual property labour and employment compliance corporate governance
- Provide assistance with other legal department/company projects from time to time
Desired Qualifications and Experiences
- Business degree law degree juris doctor or working towards a similar degree
- At least 13 years experience drafting and negotiating transactional documents in the software industry license agreements Software as a Service and Cloud agreements commercial agreements master services agreements nondisclosure and confidentiality agreements novation and assignment agreements terms of use letters of intent and MOUs
- Experience working with customers located in the United States
- Ability to comprehend and investigate vague problems propose innovative solutions and execute them efficiently
- Experience working with government bodies and public safety agencies
- Efficient effective well organized and able to prioritize and manage multiple projects
