The Opportunity
EY Canada is looking for an experienced candidate to help support the growth of our firm. You will join our General Counsels Office a team of sophisticated inhouse lawyers who are a respected and integrated part of our professional services firm.You will act as a strategic advisor to our business and help EYs professionals negotiate complex commercial contracts with some of our most significant clients.
Your Key Responsibilities
- Work closely with and act as a strategic advisor to EY business teams across Canada to help structure & negotiate commercial agreements.
- Independently draft review and negotiate a broad range of commercial agreements and related documents including responses to requests for proposals NDAs engagement letters vendor supplier branding licensing information technology and service agreements statements of work and master services agreements.
- Analyze complex issues problem solve and provide practical businessoriented solutions.
- Provide legal expertise on special projects and legal matters.
- Contribute to internal process improvement and training initiatives.

- Clientfocused and solutionoriented with the ability to quickly grasp legal and business issues and provide timely accurate and tailored legal advice and counsel.
- Strong analytical and problemsolving skills with the ability to strategically advise the business on risks and utilize sound judgment on when to make independent decisions or escalate issues as required.
- Direct experience negotiating complex contractual agreements with clients and other third parties.
- Excellent written and verbal communication skills.
- Organized accurate and detailoriented.
- Ability to manage multiple and competing priorities.
- Positive team player.
- Highly motivated hardworking and proactive
To qualify for the role you must have
- J.D from a recognized law school and member in good standing of a law society in any Canadian Province.
- A minimum of 25 years postcall experience gained at a leading law firm and/or inhouse at a sophisticated organization.
- Strong knowledge of corporate/commercial law and experience reviewing and negotiating a wide range of commercial contracts.
- Superior writing drafting and communication skills in English.
- French communication skills (written and spoken) would be considered a significant asset.
- Ability to commute to our Toronto office.
