Notre client compte sur leur quipe entrepreneuriale engag e et cr ative pour offrir des services hors pair leurs clients. La soci t cherche agrandir leur d partement juridique avec un(e) professionnel(le) motiv (e) et rigoureux(se).




Responsabilit s principales

  • R diger r viser et n gocier une vari t de contrats commerciaux y compris des conventions d achat d actions des contrats d achat d actifs et des ententes de services.
  • Participer activement toutes les tapes des transactions de fusions et acquisitions incluant la v rification diligente la structuration la r daction et la cl ture.
  • Fournir des conseils juridiques sur des questions corporatives g n rales la gouvernance d entreprise et la conformit r glementaire.
  • Collaborer avec les quipes internes (finance op rations ressources humaines) pour soutenir les initiatives strat giques.
  • Effectuer des recherches juridiques et assurer une veille sur les lois et r glements pertinents.
  • Contribuer la gestion des risques juridiques et l laboration de solutions pratiques et adapt es aux enjeux d affaires.



Profil recherch

  • Dipl me en droit d une universit reconnue et membre en r gle du Barreau du Qu bec ou de l Ontario.
  • 1 3 ans d exp rience pertinente en droit des affaires en transactions corporatives ou en fusions et acquisitions.
  • Excellentes comp tences en r daction en n gociation et en communication.
  • Bilinguisme parfait (fran ais et anglais).
  • Capacit g rer plusieurs priorit s dans un environnement dynamique.
  • Esprit d analyse rigueur et sens des affaires.
  • Autonomie initiative et d sir d apprendre.

Legal Counsel Corporate Law M&A


Location: Montreal Quebec

About Our Client

Our client is well-established and recognized in the Canadian restaurant industry. Today the company manages over 1000 restaurants and is continuously expanding and evolving. They rely on their entrepreneurial committed and creative team to deliver exceptional services to their clients. The company is looking to grow its legal department with a motivated and detail-oriented Legal Counsel.



Main Responsibilities

  • Draft review and negotiate a variety of commercial contracts including share purchase agreements asset purchase agreements and service agreements.
  • Actively participate in all stages of M&A transactions including due diligence structuring drafting and closing.
  • Provide legal advice on general corporate matters corporate governance and regulatory compliance.
  • Collaborate with internal teams (finance operations human resources) to support strategic initiatives.
  • Conduct research and monitor relevant laws and regulations.
  • Participate in legal risk management and develop practical business-oriented solutions.


Profile Sought

  • Law degree from a recognized university and member in good standing of the Quebec or Ontario Bar.
  • 1 to 3 years of relevant experience in business law corporate transactions or mergers and acquisitions.
  • Excellent drafting negotiation and communication skills.
  • Perfect bilingualism (French and English).
  • Ability to manage multiple priorities in a dynamic environment.
  • Strong analytical skills attention to detail and business acumen.
  • Autonomy initiative and a desire to learn.
