Are you a legal expert specializing in assetbased finance

PGIM Inc. is looking for an experienced assetbased finance lawyer with asset management and securities experience to support PGIM Fixed Income (the public fixed income asset management unit within PGIM Inc.. The successful candidate will be based in Newark N.J. and will join a global team of 13 lawyers supporting PGIM Fixed Incomes asset management business. On June 30 2024 PGIM Fixed Income had approximately $805 billion in assets under management.

The current EWA for this position is Hybrid and requires onsite presence on a reoccurring basis as determined by the business. We will provide additional details relative to the specific number of days you are expected to be onsite.

What you can expect:

  • providing daytoday legal advice and support for PGIM Fixed Incomes securitized products group in connection with private assetbased finance transactions (e.g. capital solutions consumer loans renewables mortgages and specialty finance)
  • structuring and forming fund vehicles
  • reviewing and negotiating complex deal documentation and confidentiality agreements
  • providing advice with respect to operations syndication and trading issues
  • advising on related investment management issues
  • providing advice regarding various regulatory matters
  • advising on debt finance and lending transactions as the need arises
  • close collaboration with investment and business professionals
  • managing outside transaction and fund formation counsel

What youll need:

  • 5 years of relevant and sophisticated experience as a lawyer in a law firm investment bank or investment manager
  • Significant and substantial legal experience in the areas of assetbased finance/securitized products/structured finance or related areas of private credit (including the various assetbased finance asset classes described in the Job Description)
  • Stellar project management skills including the ability to prioritize multiple tasks and operate independently in a fastpaced environment
  • Excellent judgment including the ability to provide pragmatic advice and raise issues when appropriate
  • Ability to collaborate with clients colleagues and corporate partners at all levels including senior management
  • Admitted to practice in N.J. (or be able to obtain a N.J. inhouse counsel license as required)

It would be a plus if you had knowledge and experience of:

  • U.S. securities laws
  • Investment management/Investment Advisers Act of 1940
  • Registered investment companies/Investment Company Act of 1940
  • Insurance regulation and regulatory capital requirements
  • Brokerdealer regulation
  • ERISA

Prudential is required by state specific laws to include the salary range for this role when hiring a resident in applicable locations. The salary range for this role is from $210700.00 to $285100.00. Specific pricing for the role may vary within the above range based on many factors including geographic location candidate experience and skills.
