Role
Reporting to the Group General Counsel the Americas Legal Counsel will be in charge of general assistanceon all relevant legal matters in daytoday business activities of Calderys group in the Americas region relating to:
Responsibilities
Commercial:
- Drafting and negotiation of commercial agreements (supply agency distribution R&D codevelopment confidentiality agreements IP licenses agreements etc..
- Drafting negotiation and/or review of complex project contracts and related agreements in the context of large industrial projects.
- Ensuring general legal support and advice on all other business issues to internal clients (e.g. sales purchasing industrial operations engineering R&D finance).
Litigation/Insurance:
- Assistance on followup of claims/lawsuits including related to product liability.
Corporate:
- Providing company secretary support (directly or through local external counsel) for the legal entities based in EMEA region.
- Development and sharing of legal expertise in transversal matters with the other members of Calderys legal team.
Requirements :
- 10yearsofsolidandsuccessfulbroadbasedlegalexperienceasinhouselegalorlawfirm.
- InternationalexposureineducationorprofessionalexperienceknowledgeofprofessionalUSABrazilMexicoandCanadaisdesirable
- Excellentlegaleducationandfirsthighqualityprofessionalexperiencecoupledwithsuperiorcommunicationsskillscreativeproblemsolvingabilityandastronggeneralbusinessorientationareessentialqualifications.
- Deliverhighqualityandreliablelegalanalysisandadvice.
- Abilitytoworkeffectivelyinaninternationalenvironment.
- Provideclearbusinessorientedlegalguidancewithaconsultativeapproach.
- Workindependentlywithstrongresilienceandtheabilitytomanagepressure.
- BuildstrongrelationshipswiththeGeneralCounselandcollaborateeffectivelywiththeinhouselegalteam.
