Reporting directly to the Vice President & General Counsel for North America this position provides counsel to internal clients specifically those groups reporting up to the Chief Technology Officer and covering the areas of Technology Innovation Vehicle & Implements Precision Technology User Experience and Powertrain.

The Senior Counsel NA Technology Contracts will:

• Negotiate and draft supply sales and R&D agreements with a technology innovation and precision farming focus (such as connectivity and precision guidance technologies digital applications display components automated and autonomous technologies).
• Provide M&A/VC transaction support including due diligence contract review contract negotiation and drafting.
• Work closely with the intellectual property team to ensure coherent of overall technology innovation and precision farming strategies and support negotiation of R&D and licensing agreements.
• Maintain expert knowledge and awareness of legislation regulations and caselaw with respect to technology and commercial contract issues to reduce business risk and ensure legal compliance.
• Provide practical business focused advice to the executive team with respect to technology and commercial contract issues.
• Partner with business and legal teams to determine strategy on negotiations with suppliers and other partners.
• Manage outside counsel fees and case budgets for situations requiring external support.
• Provide training to business clients on technology and commercial contract issues.

Work arrangements:

• This position will be based out of our offices in Oak Brook IL or Racine WI.
• Hybrid work arrangement consisting of both inperson client contact and remote work.

The annual salary for this role is $145000 $21000 plus any applicable bonus (Actual salaries will vary and will be based on various factors such as skill experience and qualification for the role.

The qualified candidate will have:

• J.D. and a current membership with the appropriate state bar.
• Minimum 5 years related experience at a large corporate law firm a boutique technology and commercial contract firm or inhouse with relevant contracting and counseling experience.

The ideal candidate will have:

• Demonstrated judgment guiding business teams through challenging issues.
• Proven experience providing guidance and advice to internal clients.
• Strong executive presence paired with excellent written and verbal communication.
• Ability to provide timely practical solutions for business clients.
• Ability to work independently exercise practical business judgment and meet concurrent deadlines.
• Willingness to respond to clients and counsel beyond regular business hours when needed.
