Senior Transactions Paralegal
Location: Vancouver BC
Salary: $85000 $135000 Bonus Comprehensive Benefits
Schedule: Full-Time In-Office/Hybrid Environment
Our client a highly regarded boutique corporate law firm in downtown Vancouver is seeking a Senior Transactions Paralegal to join its collaborative and sophisticated corporate transactions team. This is an excellent opportunity for an experienced corporate paralegal who enjoys working on complex private company transactions mergers & acquisitions and corporate reorganizations in a fast-paced team-oriented environment.
The successful candidate will work closely with experienced lawyers and fellow paralegals on a wide variety of corporate and transactional matters for mid-market private company clients. The Role
- Assist with private company M&A transactions from inception through closing
- Draft and manage closing agendas transaction documents and closing deliverables
- Coordinate and project manage transaction signings and closings
- Prepare and maintain corporate records and minute books
- Draft resolutions and documentation relating to incorporations amalgamations continuations dissolutions reorganizations share transactions dividends and corporate changes
- Assist with corporate reorganizations and related documentation
- Review and rectify corporate records and prepare rectification documentation
- Conduct due diligence reviews corporate searches and PPSA registrations
- Liaise with lawyers clients regulators and third parties throughout transactions
- Manage multiple files and deadlines in a high-volume transactional practice
Qualifications & Experience
- Minimum 5 years of experience as a Corporate or Transactions Paralegal
- Strong experience handling sophisticated corporate transactions and M&A matters
- Excellent working knowledge of BC and Federal corporate statutes registries and filing systems
- Experience preparing and maintaining complex corporate records and transactional documentation
- Strong organizational skills with the ability to manage multiple priorities and deadlines
- Exceptional attention to detail and problem-solving abilities
- Professional collaborative and client-service-oriented approach
- Proficiency with Microsoft Office Suite
- Experience with legal technology platforms such as Appara ALF iManage Closing Folders DocuSign and/or Soluno is considered an asset
- Alberta corporate filing experience is considered an asset
