Finance & Restructuring Associate

About the Role:

A leading international law firm is seeking a Finance & Restructuring Associate with 3 5 years of experience to join its growing Dallas & Denver office. This is an exceptional opportunity for an attorney looking to work on sophisticated financing transactions and restructuring matters while gaining hands-on experience across a broad range of debt products capital structures and complex commercial transactions.

The successful candidate will work closely with lenders borrowers private equity sponsors and corporate clients on a variety of finance and restructuring matters. This role offers substantial responsibility direct client exposure and the opportunity to collaborate with experienced attorneys on market-leading transactions.

Key Responsibilities:

  • Represent lenders borrowers sponsors and other transaction participants in corporate finance and restructuring matters.
  • Advise clients on a broad range of financing transactions including senior debt mezzanine debt asset-based lending cash flow lending sponsor finance unitranche facilities and junior capital transactions.
  • Draft review and negotiate loan agreements credit facilities security documents and related financing documentation.
  • Conduct legal due diligence and analyze transaction-related risks.
  • Assist with workout restructuring and special situations matters.
  • Manage transactions from structuring through closing.
  • Coordinate with clients opposing counsel financial institutions and other stakeholders throughout the transaction process.
  • Collaborate with attorneys across multiple practice groups on complex and multidisciplinary matters.
  • Maintain strong client relationships while delivering exceptional service and responsiveness.

Qualifications:

  • J.D. degree from an ABA-accredited law school.
  • 3 5 years of corporate finance transactional experience at a large law firm.
  • Strong experience handling commercial lending and finance transactions.
  • Texas Bar admission or eligibility to become admitted in Texas.
  • Excellent drafting negotiation analytical and communication skills.
  • Strong academic credentials.
  • Ability to manage multiple transactions and competing deadlines effectively.
  • Commitment to delivering exceptional client service.
  • Strong attention to detail and business judgment.
