Overview:

The Practicing Company Secretary plays a crucial role in ensuring the compliance and governance of the company s practices and statutory requirements. They are responsible for providing expert advice on corporate law ensuring adherence to legal and regulatory frameworks and guiding the board on governance matters. Their role is essential for maintaining the integrity and accountability of the organization.

Key Responsibilities:

  • Overseeing corporate compliance functions
  • Advising on legal and regulatory matters
  • Conducting compliance audits
  • Preparing and filing statutory returns
  • Guiding the board on corporate governance practices
  • Managing company meetings and minutes
  • Ensuring adherence to company law and regulations
  • Managing ESOP compliances
  • Handling secretarial audits
  • Assisting in drafting legal documents
  • Managing stakeholder communications
  • Resolving legal and compliance issues
  • Developing and implementing compliance policies
  • Providing training on corporate governance and compliance
  • Managing risk assessments and mitigation

Required Qualifications:

  • Qualified Company Secretary with membership from ICSI
  • Minimum of 5 years of experience as a practicing Company Secretary
  • Deep understanding of company law and statutory requirements
  • Expertise in corporate compliance and governance
  • Familiarity with regulatory frameworks and SEBI guidelines
  • Strong knowledge of legal advisory and contract management
  • Excellent communication and interpersonal skills
  • Ability to handle confidential and sensitive information
  • Proficiency in MS Office and company secretarial software
  • Experience in conducting secretarial audits and due diligence
  • Sound understanding of ESOP regulations and compliance
  • Ability to manage stakeholder relationships effectively
  • Proven track record in mitigating legal and compliance risks
  • Detailoriented with strong analytical and problemsolving skills
