To further our mission we are looking for aCorporate Paralegal. JOB SUMMARY The Corporate Paralegal will serve as the primary legal support professional to the General Counsel. This role requires a resourceful detail-oriented individual who can independently manage contracts maintain corporate entities and assist with a wide range of legal and administrative responsibilities. This position is critical to ensuring the efficiency organization and effectiveness of the agencys legal operations. ESSENTIAL FUNCTIONS - Contract Management
- Assist with development and implementation of contract lifecyle management system
- Track key contract terms obligations deadlines and renewals
- Coordinate contract approvals and execution processes
- Assist with contract negotiations and drafting documents
- Corporate Entity Management
- Maintain corporate records minute books and governance documents for corporate entities
- Prepare and file annual reports and other state or regulatory filings
- Coordinate board of directors and member meetings including preparation of agendas resolutions and minutes
- Manage entity databases and ensure accuracy of organizational records
- Assist with winding down corporate entities
- Compliance and Regulatory Support
- Support the development implementation and monitoring of corporate compliance programs
- Conduct research on applicable laws
- Assist with internal audits risk assessments and policy updates
- Track and ensure timely completion of required filings and certifications
- General Legal Support
- Assist with litigation management including document collection organization and coordination with outside counsel
- Manage legal department calendars deadlines and document repositories
- Assist in the development and maintenance of legal templates
EDUCATION AND EXPERIENCE - Bachelors degree required
- At least three years of relevant experience required
REQUIRED SKILLS/ABILITIES - Strong knowledge of contract principles and procedures and corporate governance
- Superior attention to detail
- Excellent collaboration communication and organizational skills
- Ability to coordinate complex tasks with multiple stakeholders
- Ability to manage multiple projects and meet deadlines
- Proficient in Microsoft Office Suite or similar software
WORK ENVIRONMENT AND PHYSICAL DEMANDS - General office environment
- While performing the duties of this job the employee is regularly required to use a computer for extended periods of time and be able to communicate using a computer and phone/smart device
- The employee frequently is required to sit and reach and must be able to move around the work environment
- The employee must occasionally lift and/or move up to 10 pounds
