Summary

TheDeputyGeneral Counselis responsible forassistingthe General Counsel inoverseeingall legalcompliance and risk managementmattersfor a national franchisor with a portfoliooffranchise role requires experience incontractnegotiationdrafting andenforcementlitigation managementcompliance programsand franchising-relatedactivities.

TheDeputyGeneral Counsel will work closely withthe seniorleadership compliance sales accounting IT and operations teamsto ensure that all legal strategies align with businessobjectiveswhile mitigating risks and protecting the companys position requiresa seasoned attorney who can support the day-to-day activities of an in-house legal departmentwhilehelping the company reach its business role is critical in bringing key legal work in-house particularly franchisee-related matters and contract reviewto allow forfaster business-aligned decision making.

This is a hybrid position requiring three days per weekonsitein our Flower Mound office.

LeadershipResponsibilities:

  • Assistinlegal departmentmanagement including hiringonboarding training assigning work delegating tasksandmanaging workload distribution.
  • Providefeedback coachingmentoringanddevelopmentfor legal department personnel.
  • Fostera collaborative work environment promoting teamwork and communication and motivating and inspiring the team to achieve a high-performance culture.
  • Manageoutside counsel to ensureefficient and quality work.

After onboarding and gaining familiarity with the organization this individual will be expected to make independent sound legal decisions on a wide range of matters.

Duties/Responsibilities:

  • Lead franchise-related legal mattersincluding franchise agreements franchise renewalschanges in ownership and territories default notices terminations dispute resolution and enforcement.
  • Manageannual updates to Franchise Disclosure Documents for all brands.
  • Addressdisputes terminations and compliance issues.
  • Ensure compliance with federal state and local laws affecting the franchise system including FTC regulations and state franchise registration laws.
  • Manage litigation and disputes including working with outside counsel on franchise-related claims intellectual property protection and employment matters.
  • Support and conduct internal investigationswitha high degree of discretion and professionalism.
  • Provide practical business-oriented legal guidance to cross-functional partners includingthe operationsteamswithin each brand and our shared services functions including HR Sales andMarketing.
  • Develop and implement policies and procedures to ensurebestpracticesfor legal and complianceacross the organization.
  • Ability to travel as needed to support franchise operations and legal matters.
  • Performs other related duties as assignedby the General Counselto meet the ongoing needs of the organization.

Required Skills/Abilities:

  • Strong contract negotiation and drafting skills.
  • Proven experience managing litigation working with outside counsel and handling dispute resolution.
  • Seasonedbusiness acumen strategic thinking and problem-solving skillswith the ability to provide practical actionable advice.
  • Excellent interpersonal and communication skills with the ability to work collaboratively with executives and franchisees.

Education and Experience:

  • J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • 10 years of legal experience with a strong background incontract law litigation and regulatory compliance
  • Experience infranchise laworlicensingwould be preferred.
  • Experience as in-house counsel for a franchisor or in a law firm specializing in franchise law preferred.

Physical Requirements

  • Light-duty work environment primarily office-based with minimal physical exertion
  • Ability to sit for extended periods while working on a computer
  • Occasional standing or walking for presentations or facilitation
  • Ability to lift and carry up to 15 lbs occasionally
  • Hybrid Schedule Work from the office on Tues/Wed/Thurs and from home on Mon/Fri
  • Occasional travel may be required for meetings training or conventions
