Job Description:
As a Legal Attorney - Real Estate Facilities & Construction you will draft review and negotiate a wide range of real estate agreements including commercial leases subleases and lease and sublease amendments. The real estate attorneys counsel Corporate Real Estate on all legal matters relating to the companys offices headquarters branch franchise locations data centers temporary leases and licenses and administrative real estate portfolio. Agreements are negotiated in compliance with professional standards industry best practice Contract Standards including the Playbook and the Alternative Real Estate Language Book etc. Agreements include without limitation leases as both a tenant and a landlord and subleases including subleases to franchisees amendments to existing leases and subleases construction and architecture agreements engineering agreements purchase and sale agreements with respect to the acquisition and disposition of land SNDAs estoppel certificates option to renew letters tax incentive agreements easement agreements non-disclosure and confidentiality agreements reciprocal easement agreements restrictive covenants exclusives rights of first refusal and rights to expand satellite dish agreements bill of sales memorandum of leases brokers agreements assignments terminations escrow agreements letters of intent default notices and facilities use license agreements.
Responsibilities:
- Pre-litigation support for disputes with landlords (including maintenance violation of exclusives and restrictions audits and real estate tax challenges) and subtenants and contractors (mechanics liens and warranties) vendors neighboring tenants and governmental authorities including ADA issues permit and licensing issues.
- Workouts with subtenants and tenants.
- Participation in the due diligence and review of real estate documents for the acquisitions and divestitures of property including closing statements deeds surveys Phase I environmental reports title reports and surveys and escrow agreements.
- Development and implementation of forms policies and procedures for the negotiation and administration of real estate documents.
Required Skills Experiences Education and Competencies:
- The role is structured this way to allow for flexible and broad-based expertise to account for high volumes of work. Additionally the above areas require experience and knowledge in extensive and varied general commercial real estate provisions including specialized focus on real estate law state statutes and litigation protection in a consistent manner in accordance with commercial real estate mandates and guideline.
- The role requires an understanding of risk management and business drivers to balance the firms interests and important business initiatives including for flexibility of immerging trends in the commercial real estate industry innovation and growth. This role requires cross-company collaboration including interaction with corporate risk management property management lease administration (e.g. accounts receivable and payable audits tax challenges) litigation team construction group corporate group (e.g. entity selection and authorized signatories) real estate strategy accounting and IBS group.
The hourly range for roles of this nature are $100.00 to $150.00/hr. Rates are heavily dependent on skills experience location and industry.
