ABOUT THE ROLE
A leading national regional firm is seeking a mid-level corporate associate to join its suburban Philadelphia office. The corporate group handles a broad range of transactional matters M&A private equity alternative entity formation joint ventures and general corporate governance for a client base spanning emerging companies through established middle-market businesses. Associates work closely with senior partners and take on early responsibility over transactions.
WHAT YOULL DO
- Lead and support M&A transactions including due diligence drafting and negotiation of deal documents
- Advise on formation governance and restructuring of corporations LLCs and alternative entities
- Draft and negotiate purchase agreements operating agreements and ancillary transaction documents
- Manage client relationships and communicate deal status to senior stakeholders
- Mentor junior associates and coordinate with cross-practice colleagues as needed
WHAT WERE LOOKING FOR
- J.D. from an ABA-accredited law school
- 4 years of corporate/transactional experience at a law firm with alternative entity experience
- PA Bar admission required
- Strong drafting skills and meticulous attention to detail
- Proven ability to manage transactions independently and meet closing deadlines
