Position: Contract & Commercial Expert
Type: Contract
Compensation: $110$150/hour
Location: Remote

Role Responsibilities

• Develop long-horizon contracting tasks with deterministic rubrics to evaluate agent performance against verifiable ground truth.
• Create scenarios in Drafting such as MSAs SOWs NDAs and DPAs with required clauses and defined parameter values.
• Design Review and negotiation scenarios involving redlines that resolve to pre-defined fallback positions per a playbook.
• Build Post-signature work scenarios for obligation extractions and clause classification against a defined taxonomy.
• Collaborate with AI labs to ensure scenarios are challenging and require focused long sessions.
• Work independently and asynchronously to meet deadlines and improve AI model performance.

Qualifications

Must-Have

• JD; 3 years practicing commercial/transactional law (in-house or firm).
• Bar admission in at least one US state (or equivalent foreign qualification).
• Expertise in SaaS commercial terms data protection (GDPR CCPA DPAs) IP and licensing indemnity and limitation-of-liability structures CLM tooling (Ironclad Agiloft LinkSquares DocuSign CLM).
• Comfortable with contract artifacts: redlines playbook entries abstraction summaries fallback positions.
• Clear written communication; can articulate reasoning step by step and encode it into deterministic rubrics.
