Senior Company Secretary
Job Summary
The Senior Company Secretary plays a senior role within the Corporate Governance team acting as a trusted governance adviser to the Board its committees and Executive leadership.
This role supports the Group Company Secretary in ensuring the Group meets its statutory regulatory and governance obligations as a listed bank and that its governance framework remains robust forward-looking and aligned with evolving regulatory and investor expectations.
The role operates across the Group engaging with senior stakeholders and external advisers and supports the delivery of transparent well-governed decision-making in a regulated banking environment.
The Senior Company Secretary will:
- Act as a senior partner in overseeing core company secretarial operations across the Group and its subsidiaries.
- Provide authoritative guidance on UK Corporate Governance Code requirements Listing Rules Disclosure Guidance and Transparency Rules (DTR) Companies Act obligations and PRA/FCA expectations translating regulatory developments into practical governance action.
- Support the Group Company Secretary Chair Committee Chairs and Directors in the effective operation of the Board and its Committees ensuring governance processes support strategic oversight and constructive challenge.
- Drive continuous improvement and governance maturity ensuring Shawbrook operates at a FTSE quality standard.
- Help to drive adoption of tech / AI to support and automate governance processes.
Key Responsibilities
- Act as strategic governance partner to selected Board Committees ensuring high-quality agendas papers minutes and action tracking.
- Support the Group Company Secretary in ensuring the Board operates effectively and in accordance with the UK Corporate Governance Code and regulatory expectations.
- Lead the annual Board and Committee evaluation processes (internal and externally facilitated) ensuring outcomes are embedded into governance improvement plans.
- Manage Director induction and ongoing development including skills mapping annual training plans and SMCR compliance.
- Oversee compliance with the Listing Rules Market Abuse Regulation (MAR) and DTR requirements including inside information governance insider lists and announcement processes supporting sustained market confidence.
- Partner with Investor Relations Legal Corporate Communications Risk and Finance to ensure timely accurate disclosures and market communications.
- Maintain robust governance processes to support results announcements AGM planning and shareholder engagement.
- Develop maintain and embed Group-wide governance policies frameworks and standards.
- Produce governance reporting for the Board regulators and internal committees ensuring high-quality insightful analysis.
- Lead governance-related projects including technology improvements (e.g. Board portal optimisation) policy updates or governance maturity initiatives.
Qualifications :
- Significant experience in a senior governance or company secretarial role within a listed company or regulated financial services organisation.
- Strong working knowledge of UK Corporate Governance Code Companies Act Listing Rules DTR MAR and PRA/FCA regulatory landscape.
- Proven experience advising Boards and senior leaders and operating with discretion judgement and independence.
- Chartered Governance Institute (ICSA) qualification (or equivalent) strongly preferred.
- Commitment to ongoing governance and regulatory professional development.
