About the Role
We are seeking a Corporate/Commercial Law Clerk to join our growing team at the Gatineau office. The Law Clerk will support lawyers on complex transactions including project finance and M&A maintain legal entities across Canada and the United States and assist other teams in legal matters. This is an exciting opportunity to join a growth-oriented organization and work in the renewable energy sector.
Key Responsibilities
Project Finance & M&A Transactions
- Assisting internal legal counsel with due diligence including: gathering reviewing and summarizing information; managing virtual data rooms; preparing agreement schedules and responding to counterparty inquiries;
- Interacting with various internal business unit(s) and outside counsel as required in managing and advancing the transaction;
- Drafting and working with outside counsel to review resolutions regulatory filings and other corporate closing documents such as officers certificates; and
- Coordinating deliverables for closings and dealing with post-closing matters.
Corporate Activities
- Managing legal entities and records including upkeep of corporate databases and organizational charts;
- Supporting on corporate reorganizations and special projects by liaising with internal teams and external counsel as necessary preparing closing agendas drafting documents and coordinating deliverables for closings;
- Maintaining minute books and corporate entity database for Canadian and U.S. entities creation/dissolution of entities preparing various resolutions (annual resolutions dividends capital contributions transfer of interests special approvals etc.) completing corporate filings;
- Researching and analyzing corporate law matters;
- Coordinating director & officer slate changes and draft necessary corporate and regulatory documents;
- Supporting documentation of flow of funds including capital contributions dividends return of capital contributions dividends etc.
- Assisting with preparing meeting materials including preparation of notices agendas resolutions; and
- Assisting treasury and capital markets teams with banks accounts and KYC requests and requirements.
Operational and other business matters
- Assisting internal legal counsel with various operational matters handled by the BRNA legal group such as contract review & drafting legal research and policy drafting and implementation;
- Developing and maintaining procedures for contractual regulatory and legislative compliance tracking and monitoring;
- Assisting with development and maintenance of corporate precedents;
- Providing recommendations and solutions following review and analysis of legal documents.
Knowledge and Experience Required
- Law Clerk diploma or equivalent combination of education and experience.
- Minimum of 2 years experience supporting lawyers on corporate/commercial matters including M&A and financing transactions ideally in a fast-paced law firm or in-house legal environment.
- Strong legal drafting skills and proven ability to manage corporate matters such as entity maintenance regulatory filings and transaction closings.
- Excellent verbal and written communication skills in both languages.
- Strong interpersonal skills with the ability to collaborate effectively and build relationships across all levels of the organization.
- Advanced analytical and problem-solving abilities with a keen attention to detail.
- Effective at planning time management and prioritizing tasks in a fast-paced deadline-driven environment.
- Self-motivated team player and resourceful with a proactive approach to work and the ability to adapt quickly to shifting priorities.
