About the Role: Corporate Paralegal for Global Subsidiaries

eBay is seeking a dynamic personable professional to serve as a Corporate Paralegal for Global this role you will be a key player on the corporate legal team responsible for a wide variety of corporate subsidiary legal matters for eBay and its subsidiaries in the US Europe and Asia. You will serve as a trusted team member helping to manage our global subsidiaries assist with corporate transactions and ensure compliance with various legal and regulatory requirements.

Primary Responsibilities:

  • Subsidiary Management: Assist in the preparation of legal documents and help coordinate corporate legal work for eBays international subsidiaries.

  • Corporate Governance: Assist in managing corporate housekeeping matters including relating to director and officer changes board and shareholder resolutions for matters such as annual statutory audit approvals registrar filings and corporate minute books and records.

  • Intragroup Transactions and Restructurings: Assist with the formation and liquidation of subsidiaries intercompany dividends capital contributions and other common corporate reorganizations and transactions around the globe supporting local attorneys in various locations.

  • Banking and Treasury Support: Coordinate with internal teams and outside counsel to respond to bank KYC (Know Your Customer) requirements including preparing secretarys certificates and banking resolutions.

  • Cross-Functional Collaboration: Work closely with the Tax Treasury Accounting and other internal teams to ensure corporate legal work is aligned with business needs and objectives.

  • Process Improvement: Identify and implement process improvements to increase the efficiency and effectiveness of the corporate legal function.

  • Project Management: Manage multiple projects simultaneously in a fast-paced dynamic environment.

Qualifications:

  • Bachelors degree and/or a paralegal certificate.

  • 8 years of corporate paralegal experience preferably with a combination of law firm and in-house legal department experience at a multinational corporation.

  • Substantial experience working with domestic and international subsidiaries located in Europe and Asia.

  • Proven ability to direct and manage outside counsel effectively.

  • Strong understanding of corporate governance entity formation and maintenance.

  • Experience with a wide range of corporate legal work including director and officer changes dividends and capital contributions subsidiary formations and liquidations and preparing corporate resolutions.

  • Familiarity with bank KYC requirements.

  • Excellent analytical problem-solving and communication skills (written and verbal).

  • Ability to work independently and as part of a team balancing multiple priorities in a fast-paced environment.

  • High degree of professionalism integrity and ethical conduct.

  • Proficiency with entity management software and other legal technologies is a plus.
