As a member of the Corporate Development team the Senior Director Corporate Development and Mergers & Acquisitions leads regional and business initiatives for the development and overall external growth strategy of SGS in North America (US and Canada). They will work closely with business and regional teams to identify potential targets and execute transactions. In addition they will take ownership of acquisition projects and processes including preparing the investment case (strategic rationale and valuation) conducting due diligence (in cooperation with external advisers and internal experts) and reviewing legal documentation.
- Leads regional and business initiatives in developing and identifying suitable acquisition targets.
- Identifies possible acquisition targets based on the specific business units strategy.
- Performs valuation analysis and generates financial and valuation models.
- Makes initial contact with a target to introduce the idea of a possible acquisition.
- Works with the target company and specific business unit on the financial analysis modeling and valuation. Reviews financial statements produces financial and strategic assessments of acquisition.
- Leads preparation of the initial presentation of acquisition proposal for the specific business unit to SGS CEO/CFO then for the OC/Board presentation. Produces presentations spreadsheets information memoranda term sheets etc.
- Negotiates the Letter of Intent with the target company.
- Negotiates with outside accountants for due diligence service scope and fees and oversees actual due diligence process.
- Assists in-house and outside legal counsel with the negotiation of closing documentation and the actual closing transaction.
- Monitors and coordinates the integration process with local management business management and supporting functions.
- Works with Group Control to prepare post-transaction analysis including purchase price allocation.
- Occasionally (up to 10% of time) provides remote (no travel required) support to Corporate Development and M&A function in South & Central American region.
- Maintains transaction information in the companys databases.
- Adheres to internal standards policies and procedures.
- Performs other duties as assigned.
Qualifications :
Education and Experience
- Masters degree in Business Finance Economics or similar discipline
- Minimum 10 years of broad project management strategy projects M&A execution in large corporate investment bank or private equity
- Experience with successful M&A transactions throughout the entire M&A lifecycle including landscape analysis pipeline development strategic due diligence transaction management and post-merger integration financial transactions corporate and business strategy
- Experience in deal making
Knowledge/ Skills/ Abilities
- Strong knowledge of financial modelling and valuation skills
- Strong planning organizational analytical negotiation and influencing skills
- Excellent communication skills (verbal written and executive presentation)
- Knowledge of Federal State and local laws/regulations related to M&A
- Ability to think strategically and translate concepts into actionable items
- Ability to generate results through influence in a matrix environment with multiple stakeholders
- Ability to partner with and influence all management levels
- Ability to motivate without a direct line of authority

Compensation
The expected salary range for this position is $170000 $200000 annually. This range represents the minimum and maximum base salary we reasonably expect to pay for this role. Actual compensation within the range will depend on skills experience and qualifications.
