DescriptionAs the Senior Legal Counsel for the US Subsidiary you will be the sole and primary legal point of contact for all US business units. You will be responsible for providing comprehensive legal advice ensuring compliance and managing all legal risks associated with the subsidiarys operations. This is a crucial high-impact role that reports directly to the Global General Counsel at the parent company.
Key Responsibilities
- Corporate & Commercial Law: Draft review negotiate and finalize a wide range of commercial agreements including sales contracts vendor agreements partnership agreements NDAs and licensing terms.
- Compliance & Risk Management: Oversee and manage all US regulatory compliance matters including but not limited to data privacy (e.g. CCPA state-specific laws) export controls and industry-specific regulations.
- Employment & HR: Provide legal guidance on US employment law matters including hiring termination compensation employee handbooks and workplace policies working closely with the HR team.
- Litigation Management: Manage and coordinate any litigation disputes or regulatory inquiries involving the US subsidiary working with external counsel as necessary.
- Corporate Governance: Ensure the US subsidiary operates in compliance with all internal corporate policies external laws and corporate filing requirements.
- Strategic Advising: Act as a strategic business partner providing proactive legal advice to the US leadership team on new initiatives product launches and market entry strategies.
Requirements- J.D. Degree from an accredited law school.
- Active membership in good standing with a State Bar in the United States (preferably in the state of the office location).
- Minimum of 8 years of relevant legal experience with a significant portion of that time spent in an in-house role specifically supporting a US subsidiary or business unit of a multinational company.
- Expertise in core US commercial law including contract drafting and negotiation.
- Strong working knowledge of US employment law and relevant regulatory frameworks (e.g. data privacy consumer protection).
- Exceptional communication and interpersonal skills with the ability to translate complex legal issues into clear practical business advice for non-legal stakeholders.
- Demonstrated ability to work autonomously manage a diverse legal workload and prioritize effectively in a fast-paced environment.
